The Harnett County Board of Commissioners met in special session on Thursday, August
14, 2008, in the Commissioners Conference Room, County Administration Building, 102
East Front Street, Lillington,North Carolina.
Members present: Beatrice B. Hill, Vice Chairman •

Vice Chairman Hill called the meeting to order at 9:30 a.m. and Commissioner McNeill
led the invocation.
Vanessa W. Young, Finance Officer, presented for the Board's consideration a Bond
Order Authorizing the Issuance of Taxable Enterprise Systems Revenue Bonds.
Commissioner McNeill moved to adopt the Bond Order. Commissioner Andrews
seconded the motion and it passed unanimously. (Attachment 1)
Ms. Young presented for the Board's consideration a Resolution Authorizing the
Approval, Execution and Delivery of Various Documents in Connection with the
Issuance of Taxable Enterprise Systems Revenue Bonds, Series 2008. Commissioner
McNeill moved to adopt the resolution. Commissioner Andrews seconded the motion
and it passed unanimously. (Attachment 2)
There being no further business, Commissioner McNeill moved to adjourn. •
Commissioner Andrews seconded the motion and it passed unanimously. The Harnett
County Board of Commissioners special meeting, August 14, 2008, adjourned at 9:35

WHEREAS the Board of Commissioners(the"Board")of the County of Harnett.North Carolim
(the "County")hereby determines that it is ncenasary to improve its water and sanitary sewer sseletns
(eollecrively,the"EnterpriseSyetems");anti
WHEREAS, the Beard is considering the issuance of not to exceed $40.000,000 County of
Harnett, North Carolina Enterprise Systems Revenue Bonds, in one or more series (collectively,the
"Bards")(I)to(inform the costs ofexxttrnsions,additions and capital improvements to,or the renewal and
repiaeemeat of capital assets of,or purchasing and installing new equipment for the Enterprise Systems
(the"Projects'),(2)to fund a reserve fund far the Bonds or to purchase it surety bond in lieu thereof,(3)
to pay for the cost of a municipal bond insurance policy(the"Polley')for the Bonds,and(4)to pay the
coats of issuing the Bund, and
WHEREAS. the Beard wishes to(A)retain Parker Poe,Adams& Bernstein LLP of Charlotte,
• North Carolina,as bond counsel;(B)retain Wachovia Bank,National Association and Banc of America
Securities, La.r as underwriters of the Bonds (collectively, the "Underwriters'); (C) approve the
l iection by the Underwriters of McGuiretWoods LLP of Charlotte, North Carolina, as underwriters'
counsel;and(D)retain First-Citvsris Bank A:Trust Company,as trustee,for the Bonds;and
WHEREAT, the Board desires that the Finance Officer of the County the with the Local
Government Commission of North Carolina(the "Currrarissine)an application for its approval of the
Bonds,on a them prescribed by the Camrnissiau,and(1)rrgruest in such application that the Conunission

approve(A)the negotiatiou of the sale of the Bonds to the Underwriters,(B)the Comity's use of Parker
Poe Adams & Bernstein LI.P, as bond counsel fur the County, (C) the Underwriter. use of
McGuireWoods LLP,as tmderwtiters'counsel,and(D)the County's use of First-Citizens Bank&Trust
Company,as trustee for the Bonds,and(2)state in such application such facts and to attach thereto such
exhibits in regard to the Bonds and to the County sad its financial condition,as may he required by the
. Commission,and to take all other action necessary to the issuance of the Bands;and
WHEREAS,n limn of the Preliminary Official Statement to be dated MI or about August 7,20n8
(the "Prefferirrary Official Statement')with respect to the Bonds has been made available to the Board;
and
WHEREAS,subject to the approval of the Commission,the County desires to(1)remove Regions
Bank as trustee under the General Trust hidesture dated May 15. 2007 (the 'General ineientitre")
between the County and Regions Bank, and (2)appoint First-Citizens Bank & Trust Company as
successor haslet under the General Indenture,in uweonlanee with its hernia;and

NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF COLLIASSIONERS OF THE
COMITY OFH fRNETT,NORTH CAROLINA,AS FOLLOWS:
SeciIan 1.. That the Bonds are to be issued by the County for the purpose of providing funds
• (1)to f inuuce the Projects,(2)to fund u reserve fund for the Bonds or to purchase a surety bond in lieu
thereof:(3)to pay the premium for the Policy,and(4)to pay the oasts of issuing the Bonds all as set out
fully in the documents attached to the County's application to the Commission. The Projects are
•
necessary in order to meet the ex'1x+rtdin8.needs of the users of the Enterprise Systems and to assure that
the Enterprise Systems remain in full compliance with all state and federal requirements for the provision
of water and sanitary sewer services.

Seaton 2 'i•ltat(I)Parker Poe Adams&Bernstein Lit'Is hereby retained to serve as hoard
counsel, (2) Wachovia Bank, National Association and Bane of America Securities,LLC,arc hereby
retained to serve as underwriters for the Bonds,(3)the Underwriters' use of McGuineWoods LLP as
underwriters' counsel Es hereby approved, and (4) First-Citizens Bank & Trust Company is hereby
approved as trusue I'or the Bonds.
• Section 3. That the Finance Officer of the County with advice from the County Manager
and bond counsel, is hereby authorized, directed and designated (l) to file an application with the
Commission for hs approval of the issuance of the Bonds and(2)to request the Commission's approval to
rentrove Regions Bank as trustee and appoint First-Citizens Bank&Trust Company its successor tnegee
under the General Indenture,such removal and appointment to be effective on August l 1,2008 following
the Commission's approval of such request The Finance Officer or her designee is authorized and
dirretcd to file all notices required in connection with such removal and appointment with all parties
entitled thereto.
Section 4_ That the Hoard finds and determines, and asks the Commission to find and
determine,from the County's application and supl.urting documenlation,the following:
(a) . that the issuance of the Bonds is necessary or expedient:

is not excessive,when added to other moneys available to the Enterprise Systems,for the
financing of the Projects:

Section 1. Thal the Chairman of the 13eerd,the County Manager and the Finance Officer are
hereby authorized to do any and all other things necessary to complete the steps necessary for the
issuance of the Bonds.
Section 6.. That the Board requests that the Commission soil the Bonds through negotiation
to the Underwriters on such turns as may be agreed on but at a true honest cost not exceeding 8.50%.
Section 7. That the form and content of the Preliminary Official Statement are In all •
respects authorized,approved and confirmed.and the use of the Ptnlirninary Official Statement by the •
t)tuler oilers in connection with the sale of the Bonds is hereby in all respects authorised,approved and
confirmed.
