LEASE AGREEMENT
1. PARTIES. This Lease Agreement (the "Lease "), made this 30 day of
DECEMBER, 2010, by and between WS /AC, LLC, a North Carolina limited liability
company, with an address of 1121 -P Military Cutoff Road, Wilmington, North Carolina
28405 ( "Landlord "), and ANDERSON CREEK PHARMACY, INC., a North Carolina
corporation with an address of 9162 Bay Trace Drive, Linden, NC 28356 ( "Tenant "):
WITNESSETH:
2. PREMISES. Landlord leases to Tenant, and Tenant leases from Landlord for
the term and upon the terms and conditions set forth in this Lease, certain premises
consisting of approximately 1,200 square feet (the "Demised Premises ") erected or to be
erected in Anderson Creek Plaza (the "Shopping Center "), on a tract of land situated in the
community of Anderson Creek, County of Harnett, State of North Carolina, as described by
metes and bounds in Exhibit B attached hereto and made a part hereof, and the said
Demised Premises being cross - hatched and marked "Shop 104" on the floor plan
designated Exhibit A which is attached hereto and made a part hereof, together with the
right of the non - exclusive use, in common with others, of all such automobile parking
areas, driveways, footways and other facilities designated for common use, as may be
provided by Landlord from time to time, subject, however, to the terms and conditions of
this Lease and to such rules and regulations for the use thereof, as may be prescribed by
the Landlord from time to time.
3. POSSESSION.
(a) Opening for Business. Upon delivery of possession of the Demised
Premises by Landlord, Tenant shall be deemed to have accepted the same and to have
acknowledged that the Demised Premises are in the conditions required of this Lease.
Landlord shall turn the Demised Premises over to Tenant as shown on Exhibit D,
Landlord's Work, attached hereto and made a part hereof. Tenant will with due diligence
proceed to install such stock, fixtures and equipment and to perform such other work as
shall be necessary or appropriate in order to prepare the Demised Premises for the opening
of business within ninety (90) days from delivery of possession. In the event that Tenant
does not open the Demised Premises for the conduct of its business within ninety (90)
days after delivery of possession by Landlord, as provided in Section (c) hereof, such shall
be an event of default, and Landlord shall have, in addition to any and all remedies herein
provided, the right at its option to collect not only the rent herein provided, but additional
rent at the rate of one - fifteenth (1/16) of the minimum monthly rental per day for each and
every day that Tenant shalt fail to commence to do business as herein provided.
(b) Plans and Specifications. Tenant shall submit to Landlord plans and
specifications covering all work and installations which Tenant proposes to do in the
Demised Premises, including, without limitation, interior store layout, fixtures and decor.
Such plans and specifications shall be prepared in such detail as Landlord may require, and
Tenant agrees not to commence work upon any of the aforesaid Tenant's work until
Landlord has approved such plans and specifications in writing. Landlord agrees to act
with reasonable promptness with respect to such plans and specifications.
