Jl HARNETT COUNTY BOARD OF COMMISSIONERS Minutes of Special Session August 12,2014 The Harnett County Board of Commissioners met in special session on Tuesday, August 12, 2014, in the Commissioners Meeting Room, County Administration Building, 1 02 East Front Street, Lillington, North Carolina. Members present: Joe Miller, Chairman Staff present: Gary House, Vice Chairman Jim Burgin, Commissioner Beatrice B. Hill, Commissioner Gordon Springle, Commissioner Tommy Bums, Harnett County Manager Joseph Jeffries, Deputy County Manager Dwight Snow, County Attorney Jennifer Slusser, Senior Staff Attorney Kimberly Honeycutt, Finance Officer Allen Coats, Deputy Finance Officer Margaret Regina Wheeler, Clerk to the Board Chairman Miller called the meeting to order at 9:00 am. Vice Chairman House led the pledge of allegiance and invocation. The following agenda was before commissioners: 1. Discharge Ordinance Update 2. Harnett County Space Discussion 3. County Manager's Report: -Regular Meeting Agenda Review 4. Closed Session Randy Baker, Harnett County Senior Zoning Inspector, presented the amended draft version of the proposed Firearms & Explosive Discharge Ordinance. Mr. Baker reported that the Harnett County Planning Board reviewed the proposed ordinance and moved by a 4-1 vote to approve and forward the Firearms & Explosive Discharge Ordinance to the Harnett County Board of Commissioners along with concerns discussed during their meeting. August 12, 2014, Special Session Minutes Harnett County Board of Commissioners Page 1 of3 HC BOC Agenda Package Page 2 Mr. Baker reviewed, discussed and addressed the following concerns that were voiced during the Planning Board meeting: 1. Cross-bows and compound bows should be included in the restrictions listed in Section 11. 2. Ordinance is too strict in relation to the setback distances. 3. Section 13 (I.) should not require a notarized letter of permission in the absence of a property owner. (Upon discussion with the Sheriff, this requirement has been removed from the proposed Ordinance.) 4. Penalties for violating the Ordinance seemed very harsh and did not allow for discretion in the area ofthe amount of the fine. (After discussions with the Sheriff and Staff Attorney, the language was amended in order to allow the judicial official the ability to access an appropriate fine amount based on each violation.) 5. Can the investigating officer confiscate or seize firearms from violators of this Ordinance? (Firearms may not be confiscated or seized simply by an infraction of this Ordinance. This has been verified by both the Sheriff and Staff Attorney.) Sheriff Larry Rollins, Mrs. Slusser and Planning Director Mark Locklear offered comments regarding the proposed ordinance as discussions continued. Mr. Baker noted that a Planning Board member had said that the ordinance is a starting point and once it is being enforced they can see how it works and offer proposed amendments if needed. Sheriff Rollins responded that an issue with CCCC and a security contract had been worked out. He also noted CCCC has approached the Sheriffs Office about possibly providing all of their security. Mr. Bums informed the Board that staff had recently met with Forestry Services regarding available county office space. He said Forestry was very enthusiastic about the possibility of that space being available to them. Mr. Bums said staff wanted to make sure the Board was comfortable with them moving forward to the next step which would be working out an agreement with Forestry. Mr. Bums said that is money we provide to them that could be return to us if we charge for utilities. Mr. Bums also noted that Harnett County Parks and Recreation would occupy part of the recently vacated county space. Commissioner Springle noted that Harnett County Facilities and Maintenance staff were unaware that the Department of Social Services and Health Department buildings were built so that you could add a story to them so they had not considered that as an option in their planning. Mr. Bums reviewed the draft August 18, 2014 regular meeting agenda. Mr. Snow, who distributed copies of a proposed warranty deed and map, reported that Harnett Forward Together Committee (HFTC) had finally sold the Erwin Mill property and had reserved 10.81 acres of that property to transfer to the County. Mr. Snow said the proposal was for the 10.81 acre tract to be August 12,2014, Special Session Minutes Harnett County Board of Commissioners Page 2 of3 HC BOC Agenda Package Page 3 recombined with the 16.27 acre tract that is now the Cape Fear River Park. Mr. Snow noted the restriction within the proposed warranty deed that this conveyance would be used for public park and recreational use only. Mr. Snow said this will extend the Dunn-Erwin Rail Trail from downtown Erwin all the way to the Cape Fear River Park. Mr. Snow noted the Rail Trail is currently maintained by the Town of Erwin and the City of Dunn along with contributions from the County. Mr. Snow said Carl Davis with Harnett County Parks and Recreation is tickled with this and thinks it will be a great addition to Cape Fear River Park. It was the consensus of the Board to add a resolution accepting this land conveyance from HFTC to the consent agenda for the upcoming August 18 1h meeting. Commissioner Hill moved that the Board go into closed session to: (1) Consult with the County's legal staff in order to preserve the attorney-client privilege concerning the handling of certain claims and legal actions including the following cases: a) County of Harnett vs. Christopher Shannon Holland, Harnett County File No. 14 CVS 922; and b) Parker vs. Town of Erwin, et. al. Harnett County File No. 13 CVS 2242. (2) To discuss matters relating to the location or expansion of industries or other businesses in Harnett County This motion is made pursuant to N.C. General Statute Section 143-318.11(a)(3)&(4). Commissioner Springle seconded the motion which passed unanimously. Commissioner Hill moved that the Board come out of closed session. Commissioner Springle seconded the motion which passed unanimously. Commissioner Springle reminded the group of the ribbon cutting the following day for a solar farm in Erwin. Since all the required information is complete, the L WSP for the Harnett County Regional Water System hereby meets the minimum criteria established in North Carolina General Statute 143-355 (1). Your water system's 2012 LWSP is now viewable online from the Local Water Supply Plans link at http://www.ncwater.org/. The plan has been made available after our best efforts to screen any errors. As a final check, please review and report any mistakes or omissions to the review engineer. Unless notified otherwise, the Division of Water Resources considers your 2012 LWSP complete. The 2012 LWSP must next be adopted by your water system's governing board; a model resolution is enclosed for guidance. We currentiy have two pumps in place at the South Regional Transfer Booster Station to bisect the water supply line in the county's southwestern water grid. The pipe installation contract has been awarded and construction is underway to meet this area's and Moore County's interconnect demands. This will also increase this areas stroage by SW-TNK-5 acting as a storage tank instead of just fioating with system pressure. The Division of Water Resources (DWR) provides the data contained within this Local Water Supply Plan (LWSP) as a courtesy and service to our customers. DWR staff does not field verify data. Neither DWR, nor any other party involved in the preparation of this LWSP attests that the data is completely free of errors and omissions. Furthermore, data users are cautioned that LWSPs labeled PROVISIONAL have yet to be reviewed by DWR staff. Subsequent review may result in significant revision. ENGINEER agrees to provide the services described below to the OWNER for the following WTP Upgrade project ("Project"): I. PROJECT DESCRIPTION The Project is titled as follows: • WTP UPGRADE TO 42 MGD-CONSTRUCTION MANAGEMENT The total project is comprised of the Upgrade of the Harnett County WTP to 42 MGD. This Contract for Engineering Services is related to Construction Management of the WTP Construction. The Upgrade sha II include modifications and additions to the existing Water Treatment Plant and the South Booster Pump Station to increase the treatment capacity to 42 MGD. The Project will include the following: A. WTP Upgrade 1. Upgrades to the Raw Water Pump Station, Reservoir Pump Station, and the South Booster to improve operation and increase capacity, 2. Complete the installation of Filters 9 through 12 including filter media, piping, and appurtenances, 3. Construct a new backwash storage tank with appurtenances and decant flow meter, 4. Rehabilitate the existing SuperPulsator clarifier, replacing inclined plates, collection piping, vacuum blowers, etc, 5. Install a new 24 inch UV Disinfection System and necessary piping, 6. Upgrade chemical feed systems, 7. Miscellaneous improvements including building modifications, new structure over the GAC contactors, access stairways, etc. 8. Other improvements as included in the approved plans and specifications. II. DESCRIPTION OF ENGINEERING SERVICES The ENGINEER agrees to perform for the above referenced PROJECT professional services as hereinafter set forth, to the extent called upon by the OWNER. A. Engineering, Administrative, and Construction Observation Services 1. In addition, ENGINEER may, without liability, after giving thirty days written notice to OWNER, suspend services under this Agreement until ENGINEER has been paid in full all amounts due for services, expenses, and other related charges. Payments will be credited first to interest and then to principal. V. ADDITIONAL SERVICES If authorized by OWNER, or if required because of changes in the Project, ENGINEER shall furnish services in addition to those set forth above. OWNER shall pay ENGINEER for such additional services as follows: For additional services of ENGINEER's employees engaged directly on the Project an amount equal to the cumulative hours charged to the Project by each class of ENGINEER's employees times standard hourly rates for each applicable billing class; plus reimbursable expenses and ENGINEER's consultants' charges, if any. VI. TERMINATION The obligation to provide further services under this Agreement may be terminated as follows; A. For Cause 1. By either party upon 30 days written notice in the event of material failure by the other party to perform in accordance with the Agreement's terms through no fault of the terminating party. By ENGINEER Upon seven days written notice if ENGINEER believes that ENGINEER is being requested by OWNER to furnish or perform services contrary to ENGINEER('s) responsibilities as a licensed professional; or upon seven days written notice if the ENGINEER('s) services for the Project are delayed or suspended for more than 90 days for reasons beyond ENGINEER('s) control. ENGINEER shall have no liability to OWNER on account of such termination. Notwithstanding the foregoing, this Agreement will not terminate as a result of a substantial failure under paragraph VI.A.l if the party receiving such notice begins, within seven days of receipt of such notice, to correct its failure and proceeds diligently to cure such failure within 30 days of receipt of notice; provided, however, that if and to the extent such substantial failure cannot be reasonably cured within such 30 day period, and if such party has diligently attempted to cure the same and thereafter continues diligently to cure the same, then the cure period provided for herein shall extend up to, but in no case more than, 60 days after the date of receipt of the notice. B. Effective Date of the Notice If OWNER elects to terminate the Agreement in accordance with Section VI(A)(l), OWNER may, but shall have no obligation to, set the effective date of termination at a time up to 30 days later than otherwise provided to allow ENGINEER to demobilize personnel and equipment from the PROJECT site, to complete tasks whose value would otherwise be lost, to prepare notes as to the status of completed and uncompleted tasks, and to assemble PROJECT materials in orderly files. VII. CONTROLLING LAW This Agreement is to be governed by the law of the state in which the PROJECT is located. VIII. SUCCESSORS, ASSIGNS, AND BENIFICIARIES A. OWNER and ENGINEER each is hereby bound and the successors, executors, administrators, and legal representatives of OWNER and ENGINEER (and to the extent permitted by paragraph VIII.B the assigns of OWNER and ENGINEER) are hereby bound to the other party to this Agreement and to the partners, successors, executors, administrators, and legal representatives (and said assigns) of such other party, in respect of all covenants, agreements, and obligations of this Agreement. s. Neither OWNER nor ENGINEER may assign, sublet, or transfer any rights under or interest (including, but without limitation, moneys that are due or may become due) in this Agreement without the written consent of the other, except to the extent that any assignment, subletting, or transfer is mandated or restricted by law. Unless specifically stated to the contrary in any written consent to an assignment, no assignment will release or discharge the assignor from any duty or responsibility under this Agreement. GENERAl CONSIDERATIONS A. The standard of care for all professional engineering and related services performed or furnished by ENGINEER under this Agreement will be the care and skill ordinarily used by members of the subject profession practicing under similar circumstances at the same time and in the same locality and Engineer shall perform such services in accordance with federal, state and local laws and regulations applicable to such services. ENGINEER and its consultants may use or rely upon the design services of others, including, but not limited to, contractors, manufacturers, and suppliers. B. ENGINEER shall not at any time supervise, direct, or have control over any contractor{'s) work, nor shall ENGINEER have authority over or responsibility for the means, methods, techniques, sequences, or procedures of construction selected or used by any contractor, for safety precautions and programs incident to a contractorrsl work progress, nor for any failure of any contractor to comply with laws and regulations applicable to contractor(s) work. c. ENGINEER neither guarantees the performance of any contractor nor assumes responsibility for any contractor(s) failure to furnish and perform its work in accordance with the contract between OWNER and such contractor. D. ENGINEER shall not be responsible for the acts or omissions of any contractor, subcontractor, or supplier, or of any Contractor(s) agents or employees or any other persons (except ENGINEER('s) own employees) at the Project site or otherwise furnishing or performing any of construction work; or for any decision made on interpretations or clarifications of the construction contract given by OWNER without consultation and advice of ENGINEER. E. The general conditions for any construction contract documents prepared hereunder are to be the General Conditions of the Construction Contract as prepared by the ENGINEERs Joint Contract Documents Committee (No. C-700, 2013 Edition), as modified by Owner from time to time at its sole discretion. F. The parties acknowledge that ENGINEER(s) scope of services does not include any services related to a Hazardous Environmental Condition (the presence of asbestos, PCBs, petroleum, hazardous substances or waste, and radioactive materials). If ENGINEER or any other party encounters a Hazardous Environmental Condition, ENGINEER may, at its option and without liability for consequential or any other damages, suspend performance of services on the portion of the Project affected thereby until OWNER: (i) retains appropriate specialist consultants or contractors to identify and, as appropriate, abate, remediate, or remove the Hazardous Environmental Condition; and (ii) warrants that the Site is in full compliance with applicable Laws and Regulations. X. TOTAl AGREEMENT This Agreement (consisting of pages 1 to 9 inclusive), constitutes the entire agreement between OWNER and ENGINEER and supersedes all prior written or oral understandings. This Agreement may only be amended, supplemented or modified by a duly executed written instrument. PAYMENT Using the procedures set forth in paragraph IV. OWNER shall pay ENGINEER as follows: A. Engineering, Administrative, and Construction Observation Services The fee for the above Engineering, Administrative, and Construction Observations Services shall be TWO HUNDRED SEVENTY ONE THOUSAND TWO HUNDRED DOLLARS ($271,200) payable in monthly installments based upon a mutually agreed upon percentage of work completed. B. Contract Term The ENGINEER's fee is based on the time to complete construction not exceeding 12 months. Should the time to complete construction be extended beyond this period, through no fault of the Engineer, total compensation to ENGINEER shall be appropriately adjusted as agreed to by the Engineer and the Onwer. XII. ADDITIONAL PROVISIONS A. General 1.1 Time is of the essence ofthis Agreement. 1.2 Waiver The payment of any sums by the Owner under this Agreement or the failure of the Owner to require compliance by the Engineer with any provisions of this Agreement or the waiver by the Owner of any breach of this Agreement shall not constitute a waiver of any claim for damages by the Owner for any breach of this Agreement or a waiver of any other required compliance with this Agreement by the Engineer. 1.3 Ownership of Documents All designs, drawings, specifications, design calculations, notes and other works developed in the performance of this Agreement shall become the property of the Owner and may be used on any other project without additional compensation to the Engineer. The use of the documents by the Owner or by any person or entity for any purpose other than the Project as set forth in this Contract shall be at the full risk of the Owner or such person or entity. 1.4 Standard of Care 1.4.1 The Engineer represents and agrees that it is qualified and fully capable to perform and provide the services required or necessary under this Contract in a fully competent, professional and timely manner, and that its consultants are also fully capable and qualified to perform and provide the services that they will provide hereunder. 1.4.2 The Engineer shall be responsible for all errors or omissions, in the drawings, specifications, and other documents prepared by the Engineer or its consultants. It shall be the responsibility of the Engineer throughout the period of performance under this Agreement to use reasonable professional care and judgment to guard the Owner against defects and deficiencies in the contractor's work. Page 6 of 9 HC BOC Agenda Package Page 28 HARNETT COUNTY DEPARTMENT OF PUBLIC UTILITIES HARNETT COUNTY, NORTH CAROLINA CONTRACT FOR ENGINEERING SERVICES WTP UPGRADE TO 42 MGD-CONSTRUCTION MANAGEMENT 1.4.3 The Engineer shall correct at no additional cost to the Owner any and all errors, omissions, discrepancies, ambiguities, mistakes or conflicts in the drawings, specifications and other documents prepared by the Engineer or its consultants. 1.4.4 The Engineer shall assure that all drawings, specifications and other documents prepared by the Engineer or its consultants hereunder are in accordance with applicable laws, statutes, building codes and regulations and that all necessary or appropriate applications for approvals are submitted to federal, state and local governments or agencies in a timely manner so as not to delay the design or construction activities of the Project. 1.4.5 The Engineer and its consultants shall perform all services in a timely manner in accordance with all schedules for the Project or required under this Agreement. 1.5 Termination for Convenience by Owner This Agreement may be terminated without cause by the Owner and for its convenience upon seven (7} days written notice to the Engineer. In the event of termination for the convenience of the Owner, the Engineer shall be paid that portion of its fees and expenses that it has earned to the date of termination, less any costs or expenses incurred or anticipated to be unearned by the Owner due to errors or omissions of the Engineer. B. Insurance 2.1 General Requirements 2.1.1 The Engineer shall purchase and maintain and shall cause each of its consultants to purchase and maintain during the period of performance of this Agreement and for five years after issuance of a Certificate of Final Completion of the Project insurance for protection from claims under workers' or workmen's compensation acts; Comprehensive General Liability Insurance (including broad form contractual liability and complete operations, explosions, collapse, and underground hazards coverage) covering claims arising out of or relating to bodily injury, including bodily injury, sickness, disease or death of any of the Engineer's or its consultants' employees or any other person and to real and personal property including loss of use resulting thereof; Comprehensive Automobile Liability Insurance, including hired and non-owned vehicles, if any, covering personal injury or death, and property damage; and Professional Liability Insurance, covering personal injury, bodily injury and property damage and claims arising out of or related to the performance under this Agreement by the Engineer or its agents, consultants and employees. 2.1.2 The minimum insurance ratings for any company insuring the Engineer shall be Best's A-. Should the ratings of any insurance carrier insuring the Engineer fall below the minimum rating, the Owner may, at its option, require the Engineer to purchase insurance from a company whose rating meets the minimum standard. 2.2 Limits of Coverage Page 7 of 9 HC BOC Agenda Package Page 29 HARNETT COUNTY DEPARTMENT OF PUBLIC UTILITIES HARNETT COUNTY, NORTH CAROLINA CONTRACT FOR ENGINEERING SERVICES WTP UPGRADE TO 42 MGD-CONSTRUCTION MANAGEMENT 2.2.1 Minimum limits of insurance coverage shall be as follows: INSURANCE DESCRIPTION · Worker's Compensation · Commercial General Liability Automobile Liability Combined Single Limit Professional Liability MINIMUM REQUIRED COVERAGE limits for Coverage A-Statutory State of N.C. Coverage B-Employers Liability $500,000 each accident and policy limit and disease each employee $1,000,000 Each Occurrence $3,000,000 Aggregate 2.2.2 All insurance policies (with the exception of Worker's Compensation and Professional Liability) required under this Agreement shall name the Owner as an additional insured party for the insurance. 3.3 Proof of Coverage 3.3.1 Evidence of such insurance shall be furnished to the Owner, together with evidence that each policy provides that the Owner shall receive not less than thirty (30) days prior written notice of any cancellation, non- renewal or reduction of coverage of any of the policies. Upon notice of such cancellation, non-renewal or reduction, the Engineer shall procure substitute insurance so as to assure the Owner that the minimum limits of coverage are maintained continuously throughout the periods specified herein. 3.4 Indemnity 3.4.1 The Engineer agrees to indemnify and hold harmless the Owner from all loss, liability, claims or expense, including attorney's fees, arising out of or related to the Project or Engineer's performance under this Agreement and arising from bodily injury including death or property damage to any person or persons caused in whole or in part by the negligence or misconduct of the Engineer except to the extent same are caused by the negligence or willful misconduct of the Owner. It is the intent of this provision to require the Engineer to indemnify the Owner to the fullest extent permitted under North Carolina law. C. E-Verify Engineer certifies that it and its consultants comply with the requirements of Article 2 of Chapter 64 of the North Carolina General Statutes. D. Equal Opportunity Employer Owner is an equal employment opportunity employer.
