037 Dunn City Council - Work Session-Continued from Recessed Meeting of May 13,2025 Wednesday,May 14,2025 6:00 p.m.,Dunn Municipal Building Minutes PRESENT: Mayor William P.Elmore.Jr.,Mayor Pro Tem.J.Wesley Sills,Council Members April Gaulden, Raquel McNeil,Billy N.Tart,Alan Hargis,and Dr.David L.Bradham. Call to Order Mayor William P.Elmore,Jr. called the meeting to order at 6:00 PM.He noted that it was a continuation of the work session meeting recessed from the previous day,May 13,2025. Mayor Pro Tem J. Wesley Sills inquired about the need for a closed session. Mayor Elmore clarified that they were currently in open session and would only go into closed session if the board deemed it necessary. He explained that the plan was to receive an update from the City Attorney and Assistant City Manager Godwin on a land purchase contract,followed by a vote on the contract. Assistant City Manager Godwin provided an update on the negotiations with the property owner.He reported that he had met with the property owner mid-morning and presented the revised offer based on the council's instructions from the previous night.The property owner agreed to sign the City's revised offer,pending a meeting with their realtor to de-list some parcels under a,listing'contract. Assistant Manager Godwin confirmed that the property owner and his wife signed the revised contract that afternoon. Mr. Godwin expressed gratitude to the council for their decisiveness in recognizing the value of the property for the future of the City and the region. He emphasized the importance of the council's action in making the acquisition possible. City Attorney Pope then presented the details of the Agreement of Purchase and Sale between the City of Dunn and Jerry Ray Bayles Sr. and wife, Faye P.Bayles. He listed the seven parcels of land included in the purchase,totaling approximately 187.09 acres.The purchase price was set at$5,000,000. City Attorney Pope outlined the key terms of the contract: • A due diligence fee of$10,000,credited to the purchase price at closing • Earnest money of$5,000,refundable if the contract is terminated during the due diligence period • A 180-day due diligence and inspection period • Two options to extend the due diligence period by 30 days each, with an additional $10,000 deposit per extension • A 60-day closing period after thedue diligence period expires Mayor Pro Tern J. Wesley Sills raised questions about potential contamination on some parcels. Assistant Manager • Godwin explained that two parcels were the site of coal,ash dumping from the old Erwin Mills operation. These parcels are on the state's inactive hazardous site list.Mr.Godwin noted that unless structures were to be built on these parcels,minimal.remediation might be required. He also mentioned that these parcels were likely to be resold after acquisition. Council members discussed the need for rezoning some parcels,which would need to go through the Town of Erwin. Mr: Godwin explained that they had not previously approached Erwin about rezoning to avoid revealing their intentions for the property. Following the discussion,a motion was made to approve the contract: Motion by Mayor Pro Tern J.Wesley Sills,second by Council Member Gaulden to approve the purchase and sale agreement between the city of Dunn and Jerry Bayles and his wife in the amount.of 5,000,000 dollars for the parcels listed on page 2 of the contract.The motion carried unanimously. A copy of the Agreement of Purchase and Sale between the City of Dunn,NC as the.Purchaser and Jerry Ray Bayles,Sr. and Wife Faye P Bayles as the Seller dated May 14,.2025 is incorporated into these minutes as Attachment#1. Mayor Elmore concluded by thanking the board members, Steve,Billy, and Tilghman for their work on this project. He emphasized the importance of this acquisition for providing clean water to the areafor many years to come.
