Fayetteville Area Metropolitan Planning Organization (FAMPO) requests the Board of Commissioners approve the boundary expansion and sign the updated Memorandum of Understanding (MOU) as participating FAMPO Local Government/Party. D. The Harnett County Board of Commissioners would like to appoint Tamara Luikart to the Harnett County Public Library Board of Trustees as the Benhaven representative. 5. Presentation of the 2024-2025 Harnett County School Budget 20. Adjourn Chairman Morris and the Board of Commissioners recognized Harnett County Paramedics District Chief Morgan Langdon and Assistant Chief Jonathan Murphy who were named 2024 State Paramedic Competition winners of the 32nd Annual North Carolina Paramedic Competition. Barry Blevins, General Services Director, reviewed a request for approval of the application for NCDOT/IMD Micro-transit Feasibility Study grant. Micro-transit is an emerging service option for transit agencies. The Feasibility Study grant will fund planning and analysis for potential integration of micro-transit service into existing HARTS operations. This study will be a comprehensive evaluation of a potential micro-transit service model. Micro-transit service involves an on-demand transportation solution, similar to Uber and Lyft services, flexible and responsive to the real-time demand of transit riders. All micro-transit implementations are unique to match the circumstances of each community. This study is a valuable decision-making tool intended to segue into pilot projects, implementation of micro-transit service, or other grant opportunities. The Micro-transit Feasibility Study planning grant is 100% funded by NCDOT. No local match is required. The Harnett County Transportation Advisory Board voted to support HARTS' application. HCBOC 060324 Pg. 4 Harnett County Board of Commissioners Work Session Minutes May 14, 2024 Page 3 of 9 Chance Torain, Transportation Services Manager, reviewed a request for approval of the FY2026 5311 Administrative Grant pre-application documents as requested by NCDOT/IMD. These pre- application documents will be reviewed by IMD as part of their pre-application activities. Furthermore, these documents will be added to the combined FY2026 5311 Administrative- Capital applications whose estimated due date is October 4, 2024. The anticipated allocated amount for FY2026 Administrative allocation is $400,312 with a 15% local County match, estimated at $60,048. A Community Transportation Program Public Hearing for public comment will be held at a later date after release of the FY2026 Capital application. Consensus of the Board was to place this item on the next consent agenda. Sarah Arbor, Long Range Planner/ Planner II, reviewed the proposed text amendment Case# PLAN2401-0066 Applicant: Harrington Companies, LLC; Harnett County Unified Development Ordinance; Article V, Section 1.2; 7.6.2 & 7.6.3. Applicant requests that Outdoor Flea Markets be added to Article V, Section 1.2 “Table of Use Regulations.” Applicant requests that Outdoor Flea Markets be added to Article V, Section 1.2 “Table of Use Regulations. Add “Outdoor Flea Markets” to 7.6.2 as well as the Letters E and F, which specifies what outdoor displays consist of, how long it can be displayed, and the minimum lot size required (10 acres). On April 1, 2024, the Planning Board voted unanimously (3-0) to recommend approval of the proposed text amendment. The Planning Board stated that approval was recommended based on the use regulations set forth in the staff suggested text as well as the requirement for a special use permit to be obtained from the Board of Adjustment. And at the May 6, 2024 Planning Board meeting, the Planning Board voted unanimously (4-0) to recommend approval of the revised text amendment with the additional use regulation as written. Consensus of the Board was to place this item on the next consent agenda. Ally Fouts Gaines, Management Analyst, reviewed a request for the approval of Amendment #1 to extend the deadline of the use of funds to June 30, 2025 for Averasboro Battlefield Commission, Inc. In September of 2022, the County of Harnett entered into a contract with Averasboro Battlefield Commission, Inc. This funding contract granted the Commission $100,000, from the County's general fund, to pay for the services of hired or contracted park rangers and employees to staff the Averasboro Battlefield and Museum. The effective date of this contract is July 1, 2022 and the termination date is June 30, 2024. Paragraph 3 of the funding contract states that the funds "may be rolled over for use by the Commission to subsequent fiscal years upon written notification by the Commission to the County and agreement by the County." The Commission has submitted a written request for the funds to be rolled over to Fiscal Year 2024-2025. Consensus of the Board was to place this item on the next consent agenda. Christopher Appel, Senior Staff Attorney, reviewed a request for the approval of the Lease Agreement between the County of Harnett and Lucknow Properties LLC for Probation and Parole. The initial term of the lease is three years with three one-year options to renew. The monthly rent for the first year is $5,250.00 monthly, for the second year $5,775.00 monthly, and for the third year $6,352.00 monthly. Consensus of the Board was to place this item on the next consent agenda. Melissa Capps, Clerk to the Board, reviewed a request for approval of an Ordinance adopting the S-6 Supplement to the Code of Ordinances for Harnett County. The supplement contains all ordinances of a general and permanent nature enacted since the prior supplement to the Code of Ordinances. Consensus of the Board was to place this item on the next consent agenda. Thomas Royer, Assistant Staff Attorney, reviewed a request for approval of the updated Nonprofit Funding Committee bylaws and policies. Attorney Royer reviewed the changes to the bylaws and policies which included the conflict-of-interest statement in the bylaws and eligibility and application criteria within the policies. Consensus of the Board was to place this item as a separate action item on the next meeting agenda. Brent Trout, County Manager, shared a request from NCDOT for a Resolution of Support for a safety improvement project on SR 1121 (Ray Road). NCDOT is pursuing funding for a safety project to provide improvements on SR 1121 (Ray Road) at the intersection with SR 2508 (Highgrove Drive) and SR 1122 (McKay Drive) and on SR 1121 (Ray Road) near the intersection with West and East Northpoint Roads. The improvements will allow safer access for pedestrians between Overhills Elementary, Middle, and High Schools and the subdivisions north and south of the schools. The project will include installation of sidewalks, high visibility crosswalks, pedestrian signal heads, and rectangular rapid flashing beacons (RRFB), which warn drivers of crossing pedestrians with high intensity, rapidly flashing lights. Consensus of the Board was to place this item on the next consent agenda. Steve Ward, Harnett Regional Water Director, reviewed a request for approval of write-offs for calendar year 2023 in the amount of $206,720. The amount is higher than usual because the write-offs include dry tap account outstanding balances through December 31, 2020. The facilitation of these write-offs is an important step in a continuing effort to effectively manage our collections and bad debt. HRW is currently using the Local Government Debt Setoff Program and On-Line Collections, Inc. to help collect our delinquent accounts. We are happy to report that we have recovered over $874,000 in bad debt previously written off through the Debt Setoff Program. Mr. Ward also presented information regarding Harnett Regional Water Capital Improvement projects. Angibeau and consensus was to place the appointment of Ms. Angibeau to the Harnett County Commissioner for Women and Youth on the next consent agenda. Mr. Trout reviewed a Resolution requesting NCDOT add Fairfax Drive and Savannah Court in Pittman Crossing Subdivision to the State’s Secondary Road System. Consensus of the Board was to place this item on the next consent agenda. Mr. Trout also shared the Planning Committee will be meeting to decide if we will move forward with the Jetport Ribbon Cutting and Jamboree on Saturday due to weather conditions or push it to the rain date. Commissioner Weatherspoon made a motion to go into Closed Session for consultation with and instructions to the County staff concerning the position to be taken by the County in negotiating a proposed contract for the acquisition of real property. This motion is made pursuant to NC General Statute Section 143-318.11 (a)(5). The motion was seconded by Commissioner Nicol. Following a motion to come out of Closed Session, Chairman Morris called the meeting back to open session. Chairman Morris made a motion to recess and reconvene downstairs at 11:00 am to meet in Joint Session with the Board of Education. Mr. Cox shared FY 23-24 initial allotment was $13,343,686 and for FY 24-25 planning estimate is $8,122,345 a difference of (5,721,341). Additional discussion included Harnett County tax rate in comparison to the state average, what the allotment is used for, and what they are doing about the loss. Dr. Aaron Fleming, Superintendent, reviewed the 2024-25 Harnett County Board of Education Local funding request and the 2024-25 School facilities needs list. Uriah Parker, Transportation Director and Jamie Acree, Bus Patrol Representative, provided an update on bus patrol. Discussion included cameras, statistics and enforcement. Dr. Fleming clarified the last day of school is May 29th, it is a half day. Board Member Powell made a motion to adjourn the Board of Education at 12:18 pm. Board Member Godfrey seconded the motion. Ms. Rouse shared with the help of the North Carolina Public Health Association and Patrick Brown, the John Rouse Memorial Scholarship Fund was started and to be eligible for the scholarship one must be attending Campbell University while pursuing a degree in Public Health. Through contributions from individual donors, businesses, organizations, and local fundraisers, we have raised approximately $17,000. Our goal is to endow the scholarship through Campbell University to make a lasting difference in the lives of students to continue to give back to our community and to keep her dad’s memory alive. Ms. Rouse stated as you are finalizing the upcoming budget, I would like you to consider donating the remainder of $8,000 that is needed to complete the endowment process at Campbell University in my dad’s memory. Through the continued support of this community, I am excited to establish the John Rouse scholarship and follow my dad’s footsteps by giving back to this community. Mark Locklear, Development Services Director, presented a request from FAMPO (Fayetteville Area Metropolitan Planning Organization) regarding a boundary assessment update and Memorandum of Understanding. On May 9, 2024, the Fayetteville Area Metropolitan Planning Organization’s FAMPO Transportation Advisory Committee (TAC) voted to expand its Urban Area Boundary. In summary, the boundary expansion covers the southern half of Harnett County and adds the Town of Erwin and a portion of Moore County to the already existing FAMPO boundary. FAMPO requests the Board of Commissioners approve the boundary expansion and sign the MOU as participating FAMPO Local Government/Party. Consensus of the Board was to place this item on the next consent agenda. Eric Truesdale, Veterans Services Director, presented a request for the Board of Commissioners approval to apply for a BJA FY24 Veterans Treatment Court Discretionary Grant in the amount of $1,000,000.00. This grant will enable the court to enhance the program by increasing capacity, treatment options, court services and to enhance transitional housing and transportation services. This is a four-year grant and will ensure there are no gaps in funding requirements for full operations of the Veterans Treatment Court and staff. Commissioner McKoy asked if they had someone on the Opioid Task Force and Mr. Truesdale shared Mr. Zane Campbell has been invited to be on that Task Force. Brent Trout, County Manager, stated this morning I wanted to report back to the Board related to the comments that were made by Mr. Langley regarding the possibility of a public private partnership. I have reached out to the North Carolina Community Foundation. They are the organization that currently oversees the funding for the Harnett County Community Foundation. Last year they gave out a little over $8,000 in grants and had about $70,000 or more in requests. Their organization has been providing oversight for providing funding to nonprofit organizations for quite a while so I contacted the North Carolina Community Foundation about the possibility that they would be an organization that we could partner with, provide funds and then have them HCBOC 060324 Pg. 83 Harnett County Board of Commissioners Work Session Minutes May 28, 2024 Page 3 of 8 distribute the money to the nonprofits. They thought they would be able to do that, but I have not gotten a specific answer back from their leadership, so I still don’t know for sure if that would be an option available to the board as far as an alternative for providing funding instead of managing the nonprofit funding. I provided them with information regarding our requirements that any money that we are to give them had to go to a public purpose. Hopefully, we will get an answer so we can determine if that is an option for you to consider. Otherwise, if we want to go down the line of a public private partnership that would mean we would need to set up another organization and that would take some time to accomplish. Discussion included the prior process with the Nonprofit Board. Consensus of the Board was to place this item on the June 11, 2024 work session agenda. NOW THEREFORE, in consideration of the mutual benefits afforded to each party, the parties agree as follows: Section 1. Boundary of the Metropolitan Planning Area The Fayetteville Urban Metropolitan Planning Area consists of the Fayetteville Urban Area as defined by the United States Department of Commerce, Bureau of the Census, plus that area beyond the existing urbanized area boundary that is expected to become urbanized within a twenty-year planning period. This area is hereinafter referred to as the Metropolitan Planning Area. Per federal regulation, a Metropolitan Planning Organization, in cooperation with the NCDOT and public transit operators, is required to review the Metropolitan Planning Area (MPA) after each Census to determine if the existing MPA boundary meets the minimum HCBOC 060324 Pg. 112 FAMPO - MOU May 9, 2024 Page 3 of 21 statutory requirements for new and updated urbanized areas and shall adjust the boundary as necessary. This MOU recognizes the FAMPO’s adherence to this regulation and has fulfilled its requirements by completing a formal Boundary Assessment which has involved collaboration and engagement with all agencies within the NCDOT 2050 Travel Demand Model Boundary. Upon adoption of this MOU and its establishment of the FAMPO Boundary, there shall be no additional member agencies of the FAMPO Planning Boundary until the next review of the FAMPO Boundary. Section 2. Planning Responsibility within the Metropolitan Planning Area Cooperative, continuing and comprehensive transportation planning shall be undertaken in the Metropolitan Planning Area by the FAMPO in accordance with all applicable federal and state statutes. The FAMPO shall coordinate any transportation planning it undertakes which may have a regional impact with Mid-Carolina Rural Planning Organization and the Lumber River Rural Planning Organization. Section 3. Establishment of the FAMPO The FAMPO shall be governed by a Technical Advisory Committee (TAC) a.k.a. board of directors which shall be the policy making board for the MPO and shall be constituted as follows: The voting members of the board of directors of the FAMPO shall consist of the Chief Elected Official, or a single representative appointed by the Chief Elected Official, from the governing boards of each of the General Purpose Local Governments which are parties to this agreement; an additional representative from the City Council of Fayetteville, appointed by the Chief Elected Official, to represent the Transit Operator for the City of Fayetteville; a representative from the Fort Bragg Military Reservation; a representative from Division Six of the North Carolina Department of Transportation; and a representative from Division Eight of the North Carolina Department of Transportation. In addition, the board of directors of the FAMPO shall include a non-voting representative from the Federal Highway Administration-North Carolina Division, and a non-voting representative from the Federal Transit Administration-Region IV. The members representing the Fort Bragg Military Reservation and the state and federal agencies shall be selected as determined by the agencies they are representing. Section 4. Conduct of Business by the Technical Advisory Committee (TAC) The FAMPO board of directors will meet as often as it deems appropriate and advisable. The board of directors will adopt by-laws and select a Chair and Vice-chair and conduct its business in accordance with its adopted by- laws. All meetings of the board of directors shall be subject to the Open Meetings Law. Section 5. Role and Responsibilities of the FAMPO The FAMPO board of directors will be responsible for carrying out the provisions of 23 U.S.C. §134 (Federal Highway Administration); and 49 U.S.C. §§5303, 5304, 5305, 5306 and 5307(Federal Transit Administration); including the following duties and responsibilities: 5.1. Review and approval of the annual transportation Unified Planning Work Program and any subsequent amendments; HCBOC 060324 Pg. 113 FAMPO - MOU May 9, 2024 Page 4 of 21 5.2. Review and approval of the Transportation Improvement Program for multimodal capital and operating expenditures to insure coordination between local and State capital and operating improvement programs and any subsequent amendments; 5,3, Review and approval of the Metropolitan Transportation Plan, and subsequent changes thereto, and the Comprehensive Transportation Plan as required by the N.C.G.S. §136-66.2(d). Revisions in the transportation plans must be jointly approved by the FAMPO board of directors and the North Carolina Department of Transportation; 5.4. Endorsement, review and approval of changes to the Federal Highway Administration Functional Classification System, the Adjusted Urbanized Area Boundary and the Metropolitan Planning Area Boundary; 5.5. Endorsement, review and approval of a Prospectus for Transportation Planning which defines work tasks and responsibilities for the various agencies participating in the transportation planning process; 5.6. Establishment of goals and objectives for the transportation planning process reflective of and responsive to such comprehensive plans for growth and development in the Metropolitan Planning Area as are adopted by Boards of General Purpose Local Government. 5.7. Approval and distribution of federal funds designated for the Metropolitan Planning Area under the provisions of MAP-21 and any other subsequent transportation funding authorizations. Section 6. Establishment of the Transportation Coordinating Committee (the TCC) 6.1. The parties acknowledge that transportation planning is a specialized field. In order to give the FAMPO, through its duly constituted Transportation Advisory Committee (the TAC), access to the technical expertise necessary to meet the requirements of federal and state law, a Technical Coordinating Committee (the TCC) shall be established with the responsibility for advising the FAMPO on the technical aspects of the transportation planning process, performing such technical analysis as necessary to support transportation planning and making recommendations to the FAMPO and local and State governmental agencies for any necessary actions relating to the continuing transportation planning process. 6.2. Membership of the TCC shall include technical representation from all local and State governmental agencies directly related to and concerned with the transportation planning process for the Metropolitan Planning Area and shall consist of the following: Voting members, serving ex-officio: 1. Role and Responsibilities of the TCC The TCC shall be responsible for development, review, and recommendation for approval of the Prospectus, Transportation Improvement Program, Federal-Aid Urban System and Boundary, revisions to the Transportation Plan, planning citizen participation, and documentation reports on the transportation study. Establishment of the Citizens Advisory Committee (the CAC) There shall also be a Citizens Advisory Committee (the CAC) established consisting of no less than 11 and not more than 17 interested citizens who reside within the Metropolitan Planning Area, The members of the CAC shall be appointed by the FAMPO board of directors and shall be selected to represent areas of interest and interest groups, including traditionally underrepresented members of the community, to address such interests as bicycle paths, pedestrian greenways, environmental concerns, road safety, traffic congestion, freight, rail and transit and with representatives including advocates for the disabled, seniors and minorities. Section 10. Conduct of Business by the CAC The CAC will meet as often as it deems appropriate and advisable to make recommendations to the TAC and the TCC. The CAC will adopt by-laws and select a Chair and Vice-chair and conduct its business in accordance with its adopted by- laws. All meetings of the CAC shall be subject to the Open Meetings Law. Section 11. The Executive Director Administrative coordination for the FAMPO (TAC), the TCC and the CAC will be performed by an Executive Director. The Executive Director shall be selected by a panel consisting of the Development Services Director and the Public Services Director for the City of Fayetteville, the Director of Planning and Inspections for Cumberland County, and the managers or the designees of the managers of the towns of Hope Mills and Spring Lake. The Executive Director shall become an employee of Cumberland County, subject to the provisions of Cumberland County's personnel rules and policies, assigned to the Cumberland County Planning and Inspections Department and report to the county's Director of Planning and Inspections. The Executive Director shall select such other staff as may be budgeted in accordance with the selection and recruitment rules and policies of Cumberland County. All staff selected by the Executive Director shall become employees of Cumberland County assigned to the Cumberland County Planning and Inspections Department and subject to the provisions of the County's personnel rules and policies. Section 12. Role and Responsibilities of the Executive Director 12.1. The Executive Director shall serve ex officio as the Secretary of the FAMPO Board of Directors (the TAC), the TCC and the CAC and shall be responsible to arrange the meetings and agendas and maintain the minutes and records of each. In addition, the Executive Director shall prepare the Prospectus, the Unified Planning Work Program the (UPWP), a Transportation Improvement Program in accordance with federal and state regulations and requirements; develop a Transportation Plan in accordance with federal and state regulations; maintain the Transportation Plan; execute the transportation planning process in accordance with federal and state laws and regulations; prepare invoices and progress reports in accordance with federal, state, and local requirements; structure the public involvement process needed to ensure that the UPWP, Transportation Plan, Transportation Improvement Program, and any transportation conformity determinations meet federal requirements; and consult with the FAMPO TAC, TCC and CAC regarding the best approaches to performing the duties listed above. 12.2. In advance of making any proposal or recommendation to the TAC, the TCC or the CAC, the Executive Director shall provide such recommendation to the chief planning official for every jurisdiction within the Metropolitan Planning Area which may be impacted by such proposal or recommendation in sufficient time for the chief planning official to review and comment on the proposal or recommendation. The representative from each Local Government on the FAMPO board of directors shall be responsible for instructing the clerk of his/ her local government to provide to the Executive Director copies of the minutes of any action taken by his/her local government which involves any MPO plan. 13.2. Each member signatory local government shall coordinate zoning and subdivision approval in their respective jurisdictions in accordance with the FAMPO adopted transportation plan. 13.3. As the host agency, the Cumberland County Planning and Inspections Department will serve as the Lead Planning Agency for transportation planning in the Metropolitan Planning Area. All other member signatory local governments will assist in the transportation planning process by providing planning assistance, data, and inventories in accordance with the Prospectus for Transportation Planning. Section 14. Funding and Fiscal Matters 14.1. All transportation and related federal aid planning grant funds available to promote the cooperative transportation planning process will be expended in accordance with the Unified Planning Work Program adopted by the TAC, Administration of funding in support of the Transportation Planning Process on behalf of the TAC will be conducted by the County of Cumberland as the host planning agency. Cumberland County will execute appropriate agreements with funding agencies as provided by the Planning Work Program. 14.2. The local match for the Federal Aid planning funds will be determined based on the current federal matching requirements. The signatory General Purpose Local Governments will contribute to the local match requirement based on their percentage of the population within the Metropolitan Planning Area at the most recent decennial census. Only the non-municipal population of those portions of counties located within the Metropolitan Planning Area shall be counted for counties. Member governments may also be asked to contribute additional local funding for projects wholly within their jurisdictional limits. 14.3. The fair market rental value of the office space provided by the Cumberland County Planning and Inspections Department as the host agency will be counted toward Cumberland County's match as an in-kind contribution. The fair market value of the rent shall be figured as the same annual rate per square foot that Cumberland County receives from the State of North Carolina for any other county-owned office space rented by the State. Section 15. Duration of the Agreement Any party may terminate its participation in the MPO and remove itself from this Agreement by giving sixty days' advance notice in a writing signed by the Chief Elected Official, if a local government, or by the chief executive officer of the agency, if not a local government. This notice shall be delivered to the Chairman of the FAMPO Board of Directors and to the Executive Director. WITNESSETH: WHEREAS, on or about September 11, 2012 the County and City entered into a Memorandum of Understanding wherein the County agreed to transfer the Property (as defined therein) to the City and the City agreed to provide the County with rooms in buildings located on the Property for operation of the Program (as defined therein), a copy of which is attached hereto as Exhibit A and incorporated herein by reference (the “Original MOU”); and WHEREAS, the Original MOU provides in part that if the County ceased to operate the Program at the present location on the Property or to any premises to which it was relocated by the City for a period of ninety (90) consecutive days, that the City’s obligation to provide space for the County’s operation of the Program shall cease and become null and void; and WHEREAS, the County has ceased to operate the Program at the location in which it was being operated on September 11, 2012 or at any other location or relocated premises in the City for more than ninety (90) consecutive days; and WHEREAS, DUMA is a non-profit corporation providing services to citizens of Harnett County and surrounding areas and in order to provide such services, leases the property generally located at 301 East Broad Street, Dunn, North Carolina (the “DUMA Property”); and WHEREAS, in connection with expanding the services provided by DUMA, DUMA is in the process of renovating the DUMA Property and in connection therewith has requested that the City donate Thirty Thousand Dollars ($30,000.00) to be used towards this renovation (the “City Contribution”); and WHEREAS, the City has agreed to make the City Contribution on the condition that DUMA allow the County to use portions of the DUMA Property, the locations of which shall be mutually agreed to between the County and DUMA to operate the Program; and WHEREAS, the County has agreed that once the City makes the City Contribution the Original MOU shall be null and void and neither the City nor County shall have any further liability or obligation to the other in connection with the same. Item 9 HCBOC 060324 Pg. 152 NOW, THEREFORE, in consideration of the promises and covenants of the parties herein contained, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the County, City, and DUMA agree as follows: Article I Purpose and Objective The purpose and objective of this MOU is to set forth the terms and conditions for the City to make the City Contribution to DUMA, for DUMA to provide space within the DUMA Property for the County to operate the Program and for the County to release the City from any further liability or obligation under the Original MOU. Article II City Contribution to DUMA – Use of City Contribution Within fifteen (15) business days after the approval and execution of this MOU by the City, County and DUMA, but no later than June 30, 2024, the City will make the City Contribution to DUMA. As a condition to the receipt of the City Contribution, DUMA agrees that it shall only use such funds for the renovation of the DUMA Property to provide free services to the citizens of Harnett and surrounding counties and that such renovations shall specifically include renovation of space for the County to operate the Program. Article III DUMA to Provide Space to County for the Program Upon receipt of the City Contribution, DUMA and the County shall mutually agree on space located within the DUMA Property for the County to operate the Program at no cost to the County. DUMA shall allow the County to use this space or other space within the DUMA Property as agreed to by the County and DUMA, free of charge, as long as DUMA leases the DUMA Property, unless otherwise mutually agreed to in writing between the County and DUMA. This agreement between the County and DUMA shall be documented by a sub-lease between them. The City shall not be involved in the location of space within the DUMA Property for the County to operate the Program, which shall be handled directly between the County and DUMA. After the City has made the City Contribution it shall not have any further liability or obligation under the terms of this MOU and all matters thereafter shall be directly between the County and DUMA. HCBOC 060324 Pg. 153 Article IV Termination of Original MOU Once the City has made the City Contribution, the Original MOU shall be null and void and neither the County, nor the City shall have any further liability or obligation to the other in connection with the Original MOU, provided however, that the definitions contained in the original MOU shall survive and apply as set forth in paragraph 1 of Article VI. Article V Notice Any notice, consent, or other communication in connection with this MOU shall be in writing and may be delivered in person, by mail, or by facsimile transmission (provided sender confirms notice by written copy). If hand-delivered, the notice shall be effective upon delivery. If by facsimile copy, the notice shall be effective when sent. This MOU may be modified or amended by mutual consent of the parties provided the amendment is executed in the same fashion as this MOU. 5.Entire Agreement. This MOU constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this MOU. 6.Severability. In the event that any provision of this MOU shall be invalid, illegal, or otherwise unenforceable, the validity, legality, and enforceability of the remaining provisions shall in no way be affected or impaired thereby. 7. Counterparts. This MOU may be executed in one or more counterparts, each of which shall be deemed an original, but all of which taken together constitute one and the same instrument.
