Budget Amendments C. Tax Rebates and Releases – Motion to approve tax rebates and releases as requested by the Tax Administrator. D. The Harnett County Public Library respectfully requests to apply for annual state aid from the North Carolina Department of Cultural Resources, the State Library. The State Library appropriates funds each year for local libraries intended to promote, aid, and equalize public library services in North Carolina. The amount estimated for this fiscal year is $177,033. There is no match required. HCBOC 090721 Pg.1 E. The Harnett County Sheriff’s Office request approval of an Addendum 7 to the Pay Tel Contract. This addendum will extend the contract for two years, through December 3, 2027. Pay Tel is adding the ability to scan inmate mail except for legal mail at no cost to the county. This system will prevent drugs and other contraband from being delivered through the mail. Detention Centers have seen a large increase in amount of contraband that is being delivered through the mail. Inmate mail is processed offsite and delivered to the inmate in electronic method. Harnett County Detention staff will no longer be exposed to inmate mail except for legal mail. The extension will allow Pay Tel to recover the cost of mail scanning service. Pay Tel will also expand a Grievance Reporting application with the option to add the Medical Request application to the tablets and kiosks currently in service in the Detention Center. F. The Harnett County Sheriff’s Office request approval of the annual contract for Summit foods in the amount of $665,000.00 annually. Summit Foods provides food services for the Harnett County Detention Facility. G. The North Carolina Cooperative Extension, Harnett County Center, request permission to receive new Child Care Block Grant in the amount of $24,930 from the Chatham County Partnership for Children to continue providing training and workshops for child care providers across Harnett County. No Match Required. H. The Harnett County Division on Aging has been allocated an additional $5,084 in In- Home Aide funds for FY 21-22 from Mid Carolina Council of Government Area Agency on Aging. Original allocation budgeted $239,198; adjusted budget is $244,282. I. The Harnett County Health Department has been allocated $270,863 for FY 21-22 from NC DHHS. These funds will be used to prevent, prepare for, and respond to coronavirus by supporting testing, case investigation and contact tracing, surveillance, containment and mitigation. J. The Harnett County Economic Development Council requests approval of amendment to Council bylaws Article II, Section 2. Composition, to add Council Representation from Harnett County Schools; superintendent or designee, as appointed by the Council. K. Motion to approve the Proposed Exchange of Property between the County of Harnett, Harnett County Schools, and Town of Lillington. L. The Harnett County Health Department has been allocated $115,000 for FY 21-22 from NC DHHS. These funds will be used to hire a temporary Public Health Nurse School Health Liaison for the coordination of COVID-19 screening, testing and vaccine administration efforts. 5. Period of up to 30 minutes for informal comments allowing 3 minutes for each presentation. 6. Appointments 7. The General Services Director requests the Board of Commissioners review and approve an agreement with Global Medical Response - Med-Trans Corporation to lease a hangar located at 559 Airport Road, Erwin, North Carolina. The agreement term is May 4, 2021 - June 30, HCBOC 090721 Pg.2 2024 with Global Medical Response - Med-Trans Corporation providing a monthly payment of $1500. 8. The Solid Waste Director requests the Board to approve the project ordinance for the Northwest Convenience Center Project. This project consists of constructing a new Solid Waste Convenience Center located at 1979 Oakridge River Road to receive trash and recycling to better serve the citizens of the Northwest section of Harnett County. 9. Motion on a proposal from Sanford Holshouser to conduct the recruitment of an economic development director. 10. Members present: W. Brooks Matthews, Chairman Lewis W. Weatherspoon, Vice Chairman Barbara McKoy, Commissioner Mark B. Johnson, Commissioner Matt Nicol, Commissioner Staff present: George Wood, Interim County Manager Dwight Snow, County Attorney Kimberly Honeycutt, Finance Officer Melissa D. Capps, Clerk Chairman Matthews called the meeting to order at 9:00 am. Commissioner McKoy led the Pledge of Allegiance and invocation. The following agenda was before the Board: •Call to Order, Pledge of Allegiance and Invocation •Presentation by County Manager Executive Search Firm; Slavin Management Consultants, Robert Slavin •Discussion of staffing issues in three departments and recommended solutions, George Wood •Update on Economic Development Director selection process, George Wood •Discussion of the Broadband Project, George Wood •Presentation by County Manager Executive Search Firm; The Mercer Group, Ellis Hankins •Consideration of Interim County Manager’s recommendation to reimpose COVID- 19 restrictions in County facilities, George Wood •Discussion regarding the sewer hookups for South Harnett Elementary School and Anderson Creek Primary School. •County Manager’s Report: -August 16, 2021 Meeting Agenda Review -Review applications to serve on Boards and Committees -Upcoming meetings and invitations •Closed Session •Adjourn Mr. Robert Slavin with Slavin Management Consultants introduced Ms. Barbara Lipscomb and shared a presentation regarding the County Manager Recruitment Process which included information regarding the process, recruitment timetable and project cost. Item 4A HCBOC 090721 Pg.180 August 10, 2021 Work Session Minutes Harnett County Board of Commissioners Page 2 of 3 George Wood, Interim County Manager, provided the Board of Commissioners with a memo outlining turnover problems in Harnett Regional Transportation Service (HARTS), Emergency Medical Services and the Inspections Division of the Development Services Department. Mr. Wood recommended the Board consider adopting a budget amendment at the August 16, 2021 meeting increasing expenditures by $782,351; and increasing revenues by $157,000 from the CARES Act to fund most the HARTS increase, and $625,351 from property taxes – real. These raises should go into effect immediately as August 16th is the beginning of a new payroll period. The consensus of the Board was to place this item on the next agenda. Mr. Wood provided an update on the Economic Development Director selection process. Fourteen (14) applications were received, applications were reviewed and narrowed down to four applicants. Interviews are being scheduled for next week. Mr. Wood stated Rose and Associates has prepared a draft economic development strategic plan and will be presenting information at the August 31st work session. The Strategic Plan is ongoing and you have the all-day retreat on August 17th with the UNC School of Government. Mr. Wood stated we have met with CloudWyze and I had time to review the contract. The contract does state that CloudWyze will design and construct the assets. Mr. Wood reviewed North Carolina state laws regarding broadband infrastructure. I would like to add to the agenda that you authorize staff to get with CloudWyze to do a preliminary design for countywide broadband. This would help with a competitive grant process. Mr. Wood stated I do still want to hire an outside engineering firm to perform value engineering, to review the cost estimates. The consensus of the Board was to place this item on the next agenda. Mr. Ellis Hankins with Mercer Group Associates shared a presentation regarding the County Manager Recruitment Process which included information regarding the search process, timeline and key dates. Mr. Wood reviewed a memo to reimpose COVID-19 restrictions in County facilities. Following conversations with Health Director John Rouse, Emergency Services Director Larry Smith and the County’s management team, I am recommending that you reinstitute previous policies requiring County employees to wear face coverings and practice social distancing when they are in public spaces such as hallways, meeting rooms and break rooms, as well as when they are riding in a county vehicle with someone else; and requiring members of the public to wear face coverings and practice social distancing in county facilities. Employees are also encouraged to meet virtually when possible, as the County has made a significant investment over the past year in technologies that enhance our ability to conduct business virtually. I am recommending these requirements be put in place until the county experiences a significant decrease in our COVID- 19 trend lines. Our hope is that these measures will reduce COVID-19’s impacts on County operations and allow staff to continue serving the public in a safe and efficient manner. Health Director John Rouse shared statistical information. Additional discussion included vaccination rates and herd immunity. The consensus of the Board was to place this item on the next agenda. Members present: W. Brooks Matthews, Chairman Lewis W. Weatherspoon, Vice Chairman Barbara McKoy, Commissioner Mark B. Johnson, Commissioner Matt B. Nicol, Commissioner Staff present: George Wood, Interim County Manager Dwight Snow, County Attorney Kimberly Honeycutt, Finance Officer Melissa Capps, Clerk Chairman Matthews called the meeting to order at 6:00 pm. Commissioner Johnson led the Pledge of Allegiance and invocation. Chairman Matthews called for any additions or deletions to the published agenda. George Wood, Interim County Manager, requested the Board consider adding a few budget amendments. The motion was seconded by Commissioner Nicol. The motion carried unanimously. The items on the consent agenda were as follows: A.Minutes •Work Session Minutes of June 27, 2021 •Regular Meeting Minutes of August 2, 2021 B.Budget Amendments (Attachment 1) C.Harnett County’s General Services Director/Harnett Regional Area Rural Transit System (HARTS) requests the Board of Commissioners consider and approve the One Call Item 4A HCBOC 090721 Pg.183 Harnett County Board of Commissioners August 16, 2021 Regular Meeting Minutes Page 2 of 4 Medicaid Non-Emergency Transportation Contract which is a part of the Medicaid transformation process. D. Harnett County’s Sheriff’s Office is requesting approval to purchase a Law Enforcement trained K-9 from Ventosa Kennel, Inc. The cost is $8,500 which will be paid from Asset Forfeiture Funds. E. Harnett County’s Sheriff’s Office is requesting approval to enter into a contract with Campbell University to provide law enforcement services. Chairman Matthews opened the meeting for informal comments by the public, allowing up to 3 minutes for each presentation up to 30 minutes. The public comment period was closed. Vice Chairman Weatherspoon made a motion to approve the following appointments: Sandhills Center Board of Directors Commissioner Nicol would like to be appointed to this board as Vice Chairman Weatherspoon’s term is set to expire September 2021. Harnett County Planning Board Rickie Day would like to be appointed to represent District 3. Harnett County Commission for Women and Youth Melanie Stewart would like to be appointed to this committee. Denise Thurman would like to be appointed to this committee. Requested removal of Jaqueline Jones (her tem is not set to expire until August 31, 2022 but she has not attended scheduled meetings and cannot be reached). Commissioner Nicol seconded the motion and the motion unanimously carried. Mr. Craig Schauer with Brooks Pierce made a presentation regarding redistricting to the Board of Commissioners which included: HCBOC 090721 Pg.184 Harnett County Board of Commissioners August 16, 2021 Regular Meeting Minutes Page 3 of 4 • Timeline for redistricting • Redistricting considerations • Process • Current District Maps Discussion included subdivisions divided into separate districts and Board of Commissioners and School Board districts. Mr. Schauer stated it is my understanding the August 31st will be a joint work session, we will send the map out to commissioners and board members in advance. John Rouse, Health Director provided an update on COVID cases and testing sites. Mr. Wood reviewed the recommendations; have employees use social distancing, masking in our facilities and vehicles. We are also recommending anyone coming into our facilities and vehicles, such as the transit system, would also wear a mask and social distance as much as possible. We are not making recommendations on what businesses, churches or other institutions should or should not do. Discussion included the number of hospitalizations in the county and mask mandates. Commissioner McKoy made a motion to accept the Interim Manager’s recommendations for the employees in this county, that employees would use masking and social distancing in county buildings and vehicles as well as any of the public that would enter into these facilities or vehicles. There was no second. Chairman Matthews stated the motion dies from the lack of a second. Mr. Wood reviewed his recommendations regarding position reclassifications in Emergency Medical Services, HARTS and Building Inspections Division. The reclassifications are outlined in the attached ordinance amending the job classification and compensation plan (Attachment 2). Vice Chairman Weatherspoon made a motion to upgrade the positions as recommended by the Interim County Manager. The motion was seconded by Commissioner Johnson. The motion carried unanimously. Vice Chairman Weatherspoon made a motion to engage Slavin to conduct an executive search for the new county manager. The motion was seconded by Commissioner McKoy. The motion carried unanimously. Commissioner Nicol made a motion to authorize CloudWyse, Inc. to do a preliminary design for countywide broadband. The motion was seconded by Commissioner Johnson. The motion carried unanimously. Mr. Wood provided an update on the Economic Development Study. Rose & Associates will be making a presentation of the draft study at the August 31st work session. Mr. Wood stated we were going to go over ARPA funds, but we were really waiting on the state budget. We will probably push that back to September. Mr. Wood also provided an update on the proposed budget calendar. Mr. Wood provided a copy of a letter from Martin Starnes & Associates, HCBOC 090721 Pg.185 Harnett County Board of Commissioners August 16, 2021 Regular Meeting Minutes Page 4 of 4 auditor for Harnett County. Martin Starnes & Associates plan to issue their report by October 31, 2021. Commissioner Nicol addressed Commissioner McKoy and asked that she join them. Commissioner McKoy asked that if Commissioner Nicol wanted to talk to her, to come to her personally. Members present: W. Brooks Matthews, Chairman Lewis W. Weatherspoon, Vice Chairman Barbara McKoy, Commissioner Mark B. Johnson, Commissioner Matt B. Nicol, Commissioner Others present: George Wood, Interim County Manager Kimberly Honeycutt, Finance Officer Melissa Capps, Clerk Coley Price, Assistant County Manager Brian Haney, Assistant County Manager Rebecca Jackson, Facilitator, UNC SOG Chairman Matthews reconvened the meeting at 8:41 am. The following agenda was before the Board: Welcome Overview of the Retreat and Warm Up o Name, one true interesting fact and one false o What are key issues facing Harnett County? o What are key successes over the last 18 months? Harnett County’s Environmental Scan Break High Performing Organization and Elements of Strategic Planning Harnett County Timeline Activity and Visioning Exercise Lunch Develop a Mission and Core Values Break Developing Strategic Goals and a Result-focus Wrapping Up o Harnett County’s Journey – Where are we? o Evaluation of Workshop Item 4A HCBOC 090721 Pg.228 Harnett County Board of Commissioners August 17, 2021 Recessed Meeting Minutes Page 2 of 3 Ms. Rebecca Jackson, facilitator, provided a welcome and reviewed retreat objectives which included: • To gain a deeper understanding about Harnett County’s internal and external environment having a bearing on the County’s success, currently and in the future and creating context for a long-term strategic plan • To gain a deeper understanding of High Performing Organizational structures and Strategic Planning frameworks • To provide opportunity for the Board to collaborate as a team • To achieve consensus on Harnett County’s draft strategic planning elements: Vision, Mission, Core Values, Goals and Objectives Ms. Jackson led the Commissioners through an overview of the retreat activities, each commissioner shared key issues facing Harnett County and key successes over the last 18 months. Ms. Jackson reviewed environmental scan. She also shared the top three priorities identified by Harnett County’s leadership which included addressing land use, growth and economic development; addressing retention/turnover of employees; and focusing on citizen communication, engagement and customer services. The Board of Commissioners took a break from 9:58 am to 10:16 am. Ms. Jackson reviewed elements of high performing organizations. Each commissioner ranked these areas in which Harnett County was the best in and which areas needed improvement. Ms. Jackson reviewed the framework of strategic plans and how organizations use these plans. Ms. Jackson led the Board of Commissioners through a timeline exercise. The Board of Commissioners recessed for lunch from 12:25 pm to 12:59 pm. Discussion included vision themes, developing the mission statement, mission themes and core values. The Board of Commissioners took a break from 2:13 pm to 2:30 pm. Ms. Jackson led the Board through a review of the goals which included commissioners ranking objectives under each goal, identifying challenges and opportunities, and prioritizing specific actions to achieve each goal. Ms. Jackson stated she would be working with staff to compile this information and asked the commissioners to be thinking about partners for each of these goal areas. Vice-Chairman Weatherspoon thanked Ms. Jackson for her help. There being no further business, Commissioner Nicol made a motion to adjourn. The motion was seconded by Commissioner Johnson. O. Box 759, Lillington, NC 27546 (hereinafter also referred to as “Harnett County” or “County”), the TOWN OF LILLINGTON, North Carolina, a municipal corporation, of P.O. Box 296, Lillington, NC 27546 (hereinafter also referred to as “TOL”) and the HARNETT COUNTY BOARD OF EDUCATION, a body corporate, of P. O. Box 1029, Lillington, NC 27546 (hereinafter also referred to as “BOE”). RECITALS: A. Harnett County (“County”), the Town of Lillington (“TOL”) and the Harnett County Board of Education (“BOE”) are the title owners of certain real property tracts located within or in the vicinity of the Lillington Town limits; and B. The TOL is currently implementing a downtown revitalization plan which will include the procurement of certain downtown block real property tracts and a recreational expansion plan that will include the procurement of the Star Academy gymnasium and ball fields from the BOE; and C. The BOE has plans to relocate its administrative offices and other school system support facilities through the procurement of the former County Public Library Building property at 601 S. Main Street and the office building at 108 E. Front Street with surrounding parking from the County and TOL; and D. The County desires to obtain more warehouse storage space and potential office space, and a possible future location of a school bus service garage through the procurement of the warehouse property at 125 Alexander Drive, and an approximate 17.5 acre majority portion of that 24.01 acre real property tract on East McNeill Street from the TOL; and E. The three parties have negotiated and agreed to a basic framework of this real property exchange as summarized in A Joint Resolution For The Exchange of Certain Real Property dated April 30, 2021; that the parties deem said exchange terms and conditions of the exchange agreement to be wise and in the best interest of each party and the citizens that they each represent; that the parties desire through this instrument to set forth in detail the specific terms of their exchange agreement. HCBOC 090721 Pg.349 2 NOW, THEREFORE, in consideration of the covenants and promises among the parties and pursuant to the provisions of N.C. General Statutes §160A-274, the parties agree as follows: 1. CONSIDERATION It is stipulated that this Contract and Agreement is supported by fair and adequate consideration. 2. HARNETT COUNTY OBLIGATIONS As part of the real property exchange transaction, the County agrees to complete the following: (a) Conveyance of former library building real property to BOE The County shall convey by Special Warranty Deed to the BOE the former Harnett County Public Library facility at 601 S. Main Street, Lillington, NC 27546 composed of two tracts: 1) PIN 0650-50- 1631.000 and 2) PIN 0650-50-0531.000. The County and the BOE agree that prior to this conveyance that the subject real property shall be surveyed. The BOE shall be responsible to arrange and pay for the survey. The County and BOE acknowledge that an entrance and parking lot portion of the real property is subject to a public library use reversionary clause to the W. A. Johnson family heirs as set forth in that deed recorded in Book 1243, Page 199, Harnett County Registry. Any conveyance by the County to the BOE shall be subject to said reversionary provision and the Special Warranty Deed shall list this matter as a title exception. It shall be the responsibility of the BOE to deal with this title encumbrance. At such time that the BOE is in a position to accept title to this real property then the BOE attorney will advise the County Attorney who will have 15 days to deliver the Special Warranty Deed to the BOE for recordation. The BOE and the County agree that time is of the essence in the BOE taking possession of the former Harnett County Public Library facility property. These two parties agree that if the library real property conveyance cannot be finalized by August 31, 2021, that the parties shall enter into a Lease Agreement whereby the BOE (Tenant) shall lease the library subject real property from the County (Landlord) at a zero rent amount with said lease term to extend to the earlier of July 31, 2022, or the Special Warranty Deed conveyance. Other lease terms shall be subject to negotiation between the BOE and the County. HCBOC 090721 Pg.350 3 (b) County funding of former library facility renovations by BOE As part of the conveyance transaction of the former public library facility property to the BOE, the BOE and the County agree that funds will need to be allocated for renovations to the former library facility pursuant to the Capital Improvement Project (CIP) funding and budgeting process. (c) Lease portions of the 125 Alexander Drive warehouse property to TOL and to BOE At such time that the real property located at 125 Alexander Drive, Lillington, NC PIN 0650-57-1078.000 has been conveyed by the TOL to the County by Special Warranty Deed (pursuant to section 3(a) of this Agreement) then the County as Landlord shall enter into Lease Agreements which shall lease the northern 1/3 section of the warehouse property to the TOL and the southern 2/3 section of the warehouse property to the BOE as Tenants respectively for a rental amount of $1 per year. During the two separate lease agreement terms, the Tenants shall be responsible to divide the utilities obligations. The County shall maintain hazard insurance coverage on the warehouse building and the Tenants shall be responsible to maintain renter’s insurance on their personal property contents. The warehouse lease term for the TOL 1/3 section shall be 1 year. The lease term for the BOE shall be for 1 year with Tenant's option to extend until the BOE's new Auxiliary Services Facility is constructed. Other standard lease provisions shall be subject to negotiations between the respective Landlord and Tenant parties. (d) County funding for BOE Auxiliary Services Facility construction The County agrees to provide funding for the BOE's new Auxiliary Services Facility to be located at the BOE owned 1500 South Main Street, Lillington, NC, site pursuant to the Capital Improvement Project (CIP) funding and budgeting process with construction to be completed within 5 to 7 years of this Agreement date. (e) County funding for BOE Bus Garage Facility construction The County agrees to provide funding for the BOE new Bus Garage Facility to be located at the East McNeill Street, Lillington, NC, site pursuant to the Capital Improvement Project (CIP) funding and budgeting process within 5 to 7 years of this Agreement date. 3. TOWN OF LILLINGTON OBLIGATIONS As part of the real property exchange transaction, the TOL agrees to complete the following: HCBOC 090721 Pg.351 4 (a) Conveyance of 125 Alexander Drive warehouse property to County The TOL shall convey by Special Warranty Deed to the County the warehouse real property tract located at 125 Alexander Drive, Lillington, NC, PIN 0650-57-1078.000 free and clear of any mortgage indebtedness. Simultaneous to this real property conveyance, the County shall enter into Lease Agreements for portions of the warehouse property with the TOL and the BOE as set forth in section 2(c) of this Agreement. This conveyance and the leases shall be completed within 20 days from the date that the last party executes this Agreement. (b) Conveyance of McNeill Street property to County The TOL shall convey by Special Warranty Deed to the County that approximate 24.01 acre tract off East McNeill Street, Lillington, NC, PIN 0559-85-1555.000 less an approximate 6.5 acre portion which shall be retained by he TOL (said portion currently used by TOL as a police firing range and an outside storage “lay down” yard). The TOL and the County further agree that in the future if the TOL and/or the County should instigate and plan an economic development project which includes the real property contiguous to the southern boundary of the above-described McNeill Street real property tract, that the County shall be willing to consider the conveyance of an access and utilities easement extending from McNeill Street through the subject tract to the subject tract southern boundary. Any survey work needed to provide said access/utilities easement shall be the responsibility of the TOL to pay and must be approved by both parties prior to recordation. The parties acknowledge that a subdivision survey shall to be completed in order to designate the deed real property portions to be conveyed and retained. The TOL shall be responsible to procure and pay the total expense for said survey. Any final survey must be approved by both parties. This conveyance shall be completed within 20 days from the date that the final survey is approved by both the TOL and County. The TOL and the County agree that in the future if the TOL should cease the use of the retained McNeill Street real property for either or both firing range or laydown yard purposes that the affected portion of the TOL retained real property shall be conveyed to the County. If a new subdivision survey is needed to accommodate said HCBOC 090721 Pg.352 5 conveyance, then the County shall be responsible to pay the survey costs. (c) Conveyance of 108 E. Front Street property to the BOE The TOL shall convey by Special Warranty Deed to the BOE free and clear of any mortgage indebtedness that office building with one row immediate surrounding parking spaces real property located at 108 E. Front Street, Lillington, NC 27546, which is a portion of that tract designated as PIN 0559-59-2794.000. The parties acknowledge that a subdivision survey shall be completed in order to designate the deed real property portions to be conveyed and retained. The BOE shall be responsible to procure and pay the total expense for said survey. Any final survey must be approved by both parties. This conveyance shall be completed within 20 days from the date the survey is approved by both the TOL and the BOE. As part of this conveyance, the TOL and the BOE agree to negotiate and enter into a parking lot agreement for that paved parking lot area owned by the TOL and located to the rear of the TOL Administrative Building and the above described 108 E. Front Street property. 4. HARNETT COUNTY BOARD OF EDUCATION OBLIGATIONS As part of the real property exchange transaction the BOE agrees to complete the following: (a) Conveyance of downtown Lillington block tracts to the TOL The BOE shall convey by Special Warranty Deed to the TOL those real property tracts located in the downtown block of the Town of Lillington contain the BOE offices for finance, auxiliary services, custodial/IT warehouse and “Red Barn” more specifically identified as: PIN 0650-40-8407.000 PIN 0650-40-7494.000 PIN 0650-40-7481.000 PIN 0650-40-7404.000 PIN 0650-40-5498.000 PIN 0650-40-5412.000 PIN 0650-40-5346.000 PIN 0650-40-4689.000 The BOE and the TOL acknowledge that the first 3 PINS heretofore listed represent the tracts upon which are located the BOE finance offices. The BOE and the TOL agree that simultaneous to the conveyance of these tracts to the TOL, that the parties shall enter into a maximum 6-month lease of these finance offices tracts by the TOL (Landlord) to the BOE (Tenant). Other lease terms shall be HCBOC 090721 Pg.353 6 subject to negotiations between the TOL and the BOE. This conveyance and the lease shall be completed within 20 days from the date that the last party executes this Agreement. (b) Conveyance of downtown Bus Garage Facility property to the TOL The BOE shall convey by Special Warranty Deed to the TOL those real property tracts upon which is located the current BOE Bus Garage Facility identified as 1) PIN 0650-40-8711.000 and 2) 0650- 40-6777.000. The parties agree that this conveyance shall take place at such time that the new Bus Garage Facility is constructed at the East McNeill Street, Lillington, NC, site. Prior to this real property conveyance, the TOL as part of its due diligence may conduct a phase one environmental study or any other tests on the subject Bus Garage Facility real property. If the study or test results are unfavorable and unacceptable to the TOL, then the parties are willing to discuss and negotiate any further pre- conveyance terms. (c) Conveyance of gymnasium, print shop, and ball field properties to the TOL The BOE shall convey by Special Warranty Deed to the TOL those real property tracts upon which is located the STAR Academy gymnasium, print shop, and the ball fields which are a portion of PIN 0559-29-7992.000. The parties acknowledge that a subdivision survey will need to be completed in order to designate the deed real property portions to be conveyed and retained. The TOL shall be responsible to procure and pay the total expense for said survey. The final survey must be approved by both the TOL and the BOE. This conveyance shall be completed within 20 days from the date that the survey work is approved by both the BOE and TOL. Simultaneous to the above-described conveyance, the BOE and the TOL shall enter into a written agreement concerning the future shared use of said recreational facilities. The BOE and the TOL also agree that simultaneous to the conveyance of these tracts to the TOL that the parties shall enter into a lease of the print shop facility at 501 West Ivey Street, Lillington, NC, and a lease of the P D Hut by the TOL (Landlord) to the BOE (Tenant) with rent at zero and a term which shall extend until the print shop function is relocated and the P D Hut is no longer needed. Other lease terms shall be subject to negotiations between the TOL and the BOE. HCBOC 090721 Pg.354 7 5. SITUS AND INTERPRETATION This Contract and Agreement shall be construed and governed according to the laws of the State of North Carolina. If any provision of this Agreement is held to be invalid or unenforceable, all other provisions shall nevertheless continue to be in full force and effect. 6. MODIFICATION AND ENTIRE AGREEMENT A modification or waiver of any of the provisions of this Agreement shall be effective only if made in writing and executed with the same formality as this Agreement. This Agreement contains the entire understanding of the parties, and there are no representations, warranties, covenants, or undertakings other than those expressly set forth herein. NURSING HOME COMMUNITY ADVISORY COMMITTEE There are five (5) vacancies on this committee however the committee appointment process has been postponed as of March 2020 when facility visitation was suspended. TRIANGLE SOUTH WORKFORCE DEVELOPMENT BOARD Harnett County needs to replace one (1) non-participatory member on this Board for a Joint Labor- Management, or union affiliated, registered apprenticeship program representative.
