The Dunn City Council would like for you to consider a revised property purchase
proposal for your review and consideration.
For discussion purposes only, the City's Engineer prepared a map to further explain the
land offer. The Dunn City Council would like to extend an offer to purchase
approximately 25.92 acres: a portion of the reservoir property (parcel A -approximately
5.13 acres), the Erwin Wastewater Treatment Plant property (parcel B -approximately
14.9 acres), a portion of the Swift Wastewater Treahnent Plant property (parcel C -
approximately 5.89 acres) including the transfer of any permits, appurtenances or
easements from Harnett County.
Also, the following items have been identified whereby the City may be willing to
participate with the County in order to resolve: 1. The County's raw water line that

supplies water to the reservoir follows the City's existing southern property line until it
terminates at the reservoir. It is unclear at this time if the County's raw water line will
interfere with our design or site work but having an operational line inside the City's
fenced property may not be ideal for either party. 2. The Dunn/Erwin Rail Trail would
have to be relocated as we could not allow p edestrian traffic through the plant site.
If the County finds this offer acceptable, the City would also like a due diligence period
to give our engineer time to thoroughly inspect the properties prior to closing to ensure
there are no concerns from an envirornnental or construction standpoint. The City of
Dunn appreciates your consideration of this offer.

Evaluation
The IMPACT to the adjacent property owners and the surrounding community is
reasonable, and the benefits of the rezoning outweigh any potential inconvenience or
harm to the community.
REASONING: The impact to the surrounding community is reasonable, as the requested
zoning district is same as adjacent properties .
The requested zoning district is COMPATIBLE with the existing Land Use Classification.
REASONING: The requested zoning is compat ible with the overall land use classification of
Medium Density Residential. MDR could have a mixed residential base with average lot
si zes where public utilities are planned and utilized.
The proposal does ENHANCE or maintain the public health, safety and general welfare.
REASONING: The requested zoning to RA-20M would maintain the public health, safety
and general welfare due to the existing residential uses within the area.
The request is for a SMALL SCALE REZONING and should be evaluated for
reasonableness .
REASONING: Due to the size of the tract, this application does not have to be evaluated
for Small Scale Rezoning.
Suggested Statement-of-Consistency (Staff concludes that...)
As stated in the evaluation, the requested rezoning to RA-20M is compatible with the County's Land Use
and would not harm the surrounding community based on the existing residential uses. Therefore, it is
recommended that this rezoning request be APPROVED .

Explanation of Zoning Change -Prior to Omega purchasing the property, the owner had a contract to
sale . The prospective new owner had part of the land rezoned to the current zoning . Subsequently, the
contract fell apart . We are requesting the zoning to be changed back to the RA-20M for residential
development. The change would be in compliance because we are placing the property that is similarly
situated in the area in the same category.

At its regular meeting held on June 25, 2020, the Hamett County Economic Development Council
reviewed and discussed bylaws of the Council. Specifically, when County Commissioner representation
on the Council changes, maintaining representation from each county voting district as outlined in
Article III, Section 2. Composition (f) and (g) is conflicting. Recognizing that the intent is to maintain
representation from across multiple county districts, the Council voted to amend the bylaws as noted in
red below.
2. Composition. The Board of Directors shall consist of nine (9) regular
voting members and three (3) ex officio nonvoting member for a maximum total of twelve
(12) as mandated by North Carolina General Statutes§ 158-8. The Board of Directors shall
consist of the following:
( a) the County Manager for the County of Hamett ( or designee ); this ex officio Director
shall be a nonvoting member (I);
(b) one representative from Campbell University as appointed by the Council; this ex
officio director shall be a nonvoting member (I);
(c) one representative from Central Carolina Community College (CCCC) as
appointed by the Council; this ex officio director shall be a nonvoting member (1 );
(d) the Chair of the Harnett County Properties Corporation (1);
(e) one representative from Duke Energy, Piedmont Natural Gas or Century Link or
another utilities provider as appointed by the Council (the "Utilities Director") (1 );
(f) two Hamett County Commissioners as appointed by the Harnett County Board of
Commissioners (the "Board of Commissioners"); at such time that a County
Commissioner no longer holds his public elected office then he shall be replaced as
a Council Director by the Harnett County Board of Commissioners ( each a "County
Commissioner Director") (2);
(g) three representatives who reside in the County Commissioner electoral districts that
are not represented by the two County Commissioner Directors at the time of
appointme nt , as appointed by the Board of Commissioners (each an "Electoral
District Director") (3 );
(h) two representatives from the business, industrial or professional communities
(these members are not required to reside in Harnett County) as appointed by the
Council ( each a "Business/Industrial/Professional Director") (2).
Bylaws shall become effective immediately upon approval by the voting Directors of the Harnett County
Economic Development Council after said Bylaws have been approved by the Harnett County Board of
Commissioners.

REQUEST:
Governments that issue publicly traded debt have an obligation to meet continuing disclosure
requirements that are identified specifically in a continuing disclosure agreement (CDS).
These are entered into at the time of bond issuance pursuant to SEC Rule 15c2-l 2.
At the time of the issuance of the bonds, the issuer provides certain annual and statistical
financial information and as part of the CDA, agrees to provide updated financial information
on an annual basis and to notify the public within 10 business days of the occurrence of
certain material events de scribed in the Rule.
To ensure compliance, units of local government are encouraged to establish written policies
and procedures to comply with post-i ssuance and ongoing requirements of the agreements.
It is requested that the Board adopt the attached Continuing Di sclosure Policy.

Part I. Purpose .
In connection with the issuance of securities in the public markets, the County of Harnett, North
Carolina (the ''Counry') has entered into agreements obligating the County to provide continuing
disclosure on certain information related to the County. The continuing disclosure obligations are
entered into by the County to allow the underwriter(s) of the securities offered to comply with Rule
15c2-12 (the "Rule") promulgated by the Securities and Exchange Commission (the "SEC'). Given
the increasing complexity of the Rule and scrutiny with respect to compliance with the Rule that will
be undertaken by underwriters of future is suance of securities by or on behalf of the County and the
desire by the County to ensure adherence with the County's continuing disclosure obligations, the
County hereby adopts the following policies and procedures (the ''Policies and Procedures'). These
Policies and Procedures are intended to serve as a guide for the County to facilitate compliance with
its continuing disclosure obligations in accordance with the Rule.
Part 11. Respons i bil ity o f County Officials .
Except as otherwise described herein, the County's Finance Department (the "Department') has
primary responsibility for ensuring that the County complies with its continuing disclosure
obligations outstanding. The Department will consult with other departments within the County, as
well as third-party professionals (e.g., the County's bond counsel and financial advisor), as necessary,
to ensure compliance with these Policies and Procedures.
The Finance Officer will review these Policies and Procedures no less frequently than on the
issuance of any securities for which the County agrees to additional continuing disclosure obligations
to ensure that the terms and conditions of these Policies and Procedures are up to date and that the
County remains in compliance.
Part 111. Se c urities Subje ct to Continu ing Disclo sure Obligation s.
The County has entered into continuing disclosure obligations for the securities listed on Exhibit A
hereto. The County will update Exhibit A each time that securities are issued for which the County
agrees to continuing disclosure and each time that securities are no longer outstanding and subject to
continuing disclosure in accordance with the Rule.

Continuing Dis closure Ob li gations .
A. As part of its continuing disclosure obligations, the County ha s agreed to provide the
following information related to each of the securities listed on Exhibit A to the
Municipal Securities Rulemaking Board (the "MSRB").
1) by not later than seven months after the end of each Fiscal Year, the audited
financial statements of the County for the preceding Fiscal Year, if available,
prepared in accordance with Section 159-34 of the General Statutes of North
Carolina, as it may be amended from time to time, or any successor statute, or if
such audited financial statements are not then available, unaudited financial
statements of the County for such Fiscal Year to
a. be replaced subsequently by audited financial statements of the
County to be delivered within 15 days after such audited financial
statements become available for distribution;
2) by not later than seven months after the end of each Fiscal Year, the financial
and statistical data as o f a date not earlier than the end of the preceding Fiscal
Year for the type of information included under the captions in the Official
Statement related to each of the securities subject to and specified in each
agreement to undertake continuing disclosure;
3) in a timely manner not in excess of 10 business days after the occurrence of the
event, notice of any of the following events with respect to the securities subject
to continuing disclosure:
a. principal and interest payment delinquencies;
b. non-payment related defaults, if material;
c. unscheduled draws on the debt service reserves reflecting financial
difficulties;
d. unscheduled draws on any credit enhancements reflecting financial
difficulties;
e. substitution of any credit or liquidity providers, or their failure to
perform;
f. adverse tax opinions, the iss uance b y the Internal Revenue Service of
proposed or final determinations of taxability, Notices of Proposed
Issue (IRS Form 5701-TEB) or other material notices or

of the County, other than in the ordinary course of business, the
entry into a definitive agreement to undertake such an action o r the
t erminatio n of a definitive agreement relating to such actions, other
than pursuant to its terms, if material;
n. appointment of a successor or additional trustee or the change of
name of a trustee, if material;
o. incurrence of a financial obligation of the County, if material, or
agreement to covenants, events of default, remedies, priority rights,
or other similar terms of a financial obligation of the County, any o f
which affect security holders, if material; and
p. default, event of acceleration, termination event, modification of
terms, or other similar events under the terms of the financial
obligation of the County, any of which reflect financial difficulties.
The term "financial obligation" as used in items (o) and (p) above means a (i) debt
obligation; (ii) derivative instrument entered into in connection with, or pledged as
security or a source of payment for, an existing or planned debt obligation; or (iii)
guarantee of (i) or (ii). The term financial obligation shall not include municipal
securities as to which a final o fficial statement has been provided to the MSRB

consistent with the Rule (obligations subject to subsections (o) and (p) above are
listed in Exhibit C attached hereto).
4.) In a timely manner, notice of a failure of the County to provide required annual
financial information described in (1) or (2) above on or before the date
specified.
B. The type of information to be provided under (A)(2) above is set forth in Exhibit B.
C. All documents provided to the MSRB as described above are to be provided in an
electronic format as prescribed by the MSRB (pdf, word-searchable) and accompanied
by identifying information as prescribed by the MSRB.
D. "Financial Obligations" will be identified by the Department, in consultation with bond
counsel and the financial advisor, prior to being entered into by the County. A Financial
Obligation will be considered "material" for purposes of the Rule if it exceeds
$1,000,000. The Department will post the en tire relevant documents related to the
Financial Obligation (with acceptable redactions identified b y the counterparty to the
documents) in accordance with the Rule. Exhibit C includes a lis t of "Financi al
Obligations" as identified in accordance with a materiality standard identified b y the
County. Such li st should be reviewed and updated in accordance with Part VI below, as
needed.
Part V. Continuing Disclosu r e Ob l igations Con t rol.
Notwithstanding anything in these Policies and Procedures, the terms of each continuing disclosure
obligation made at the time the County issued or executed and delivered the related debt obligation
controls. The Department will maintain records of each continuing disclo sure agreement.
Part VI. Record keeping and Rev i ew of Policy .
The County will maintain all records related to its compliance with its continuing disclosure
obligations in such form and for such time period in accordance with the County's recordkeeping
policies. In addition, the County will review this policy in January of each calendar year in
connection with the County's continuing disclosure filing of audited and annual financial data,
including a review of Exhibits t o ensure they are complete, and update as necessary.
