FOR AUGUST 6, 1947.
MINUTES of ADJOURNED MEETING OF BOARD OF COMMISSIONERS
OF HARNETT COUNTY.
Upon call of Mr Angus A Cameron, Chairman of the board of Commissioners of the
County of Harnett, terminating a recess taken by said Board of Commissioners on
August 4, 1947(it being the first Monday in August) the members of said Board
reconvened in their room at the courthouse in Li_llington, North Carolina, at two
O'clock, P M Wednesday, August 6, 1947 to continue the dispatch of the business of
the Couinty of ilarnett. Present: Chairman Angus A Cameron, and Commissioners Ferd D
Jackson, R L Pate, L R Byrd, and L A Tart, and Inez Harrington, Clerk to said Board.
The following business was transacted:
Commissioner L RByrd introduced and moved the adoption of the following resolution
which motion was seconded by Commissioner Ferd D Jackson, whereupon by unanimous
vote of all the members of the Board of Commissioners of the County of "arnett, said
resolution was adopted: RESOLUTTI.ON of the BOARD OF CONMISSIoNERS OF HARNETT COUNTY,
NORTH CAROLINA, Providing for the conveyance of its hospital to Dunn Hospital, Incor-
porated a non- stock, non - profit corporation, and r equesting the Federal Works
Administrators consent thereto.
WHEREAS, the Public Works Administration made and has paid to the County of
Harnett, approximately $54.000 to aid in financing the construction and equipping of
the Harnett County Hospital in the Town of Dunn, Harnett County, North Carolina; and
WHEREAS, it is recognized that under the laws, rules, and regulations governing '.
the Public Works Administration, the Public 'Yorks Administration was authorized to
make a grant solely to a public agency for the construction of a useful public works
and was not authorized to make a grant to a private agency; and
WHEREAS, under date of June 8, 1940, the Board of Commissioners of the County of
Harnett adopted a resolution (and transmitted certified copied thereof to the Public
Works Administration) to the effect that the County of Harnett would not convey or
lease the Harnett County Hospital to any non - stock, non - profit or other private agent,
and particularly to Dunn Hospital, Incorporated, its successors or assigns, unless
the full amount of the grant allocated by the Public Works Administration be repaid
and returned to said Public '.Yorks Administration, and then only with the written
approval of the said Public .works Adrinistration; and
WHEREAS, under date of June 8, 1940, the said Board adopted a second resolution
expressly made subject to the approval of the Public Works Administration, pursuant
to which it way provided that "upon payment by Dunn Hospital, Incorporated, to the
County of Barnett for the use and benefit of the Public '.forks Administration of any
and all sums which have been allocated by the Public Works Administration as a
grant of aid toward f'nancing the cost of constructing and equipping said hospital
project ", within a 3 -year period, the hospital facilities would be conveyed by the
County to Dunn Hospital, Incorporated; and
WHEREAS, such latter resolution was on June 24, 1940, rescinded by resolution of
said Board because of the unwillingness of the Public 'Yorks Administration to approve
the conveyance of the hospital to Dunn Hospital, Incorporated; ;and
WHEREAS, by resolution adopted on June 24, 1940, by said Board because of the
refusal of the Public Works Administration to approve the first above - mentioned resolu-
tion without an amendment as herein specified, the said Board amended the resolution
first above - mentioned to eliminate therefrom any provision conditioning the effective-
ness of the resolution upon the approval of thePublic "forks Administration or indicating
that the County's control and ownership of the hospital properties could be transferred
upon payment of the grant to the Public Works Administration; and

the people of Harnett County, and the incidental benefit
adjoining counties of Sampson, Cumberland, and Johnston;
WHEREAS, it now appears that the accommodations of the said hospital are inadequate
to meet the growing needs of the residents of the County of Harnett, and it is
essential that an addition and improvements to said hospital be constructed and
made in order to provic'e additional beds and hospitalfacilities for the residents of
the County of arnett; and
WHEREAS, the County of "arnett does not have and will not have sufficient funds
to construct such rdditional hospital facilities and it is believed unlikely that any
county bond issues for such purpose will be voted favorably by the people of the
County; and
WHEREAS, the "unn Hospital, Incorporated, has presented to this "oard satisfactory
evidence showing that Bunn Hospital, Incorporated is a non - stock, non profit corporatior
organized under the laws of the State of North Carolina and that such non - profit

corporation is ready and willing to .assume the maintenance and operation of the Harnett
County Hospital for the benefit of the general public andis ready and willing to
provide the funds necessary to erect an addition to the Harnett County Hospital
costing not less than $54,000 and said Dunn Hospital, Incorporated has presented to
this Board aatisfactory evidence showing that funds sufficient to provide such additiona
facilities and improvements and at the saw time properly maintain and operate the hos-
pital as it presently exists and as it is enlarged in the future will be available; and
WHEREAS, IN view of these facts, the General Assembly of North Carolina enacted
on March 18, 1947 an act entitle "An Act to authorize the Board of County Commissioners
of Harnett County to dispose of the properties of the Harnett County Hospital"
pursuant to which the Board of County Commissioners of Harnett County is authorized
at any time within six months next following the ratification of said Act (which means
at any time prior to August 18, 1947* to execute and deliver a deed or deeds of
conveyance or other legal instruments covering the County's interest in said hospital
properties to a non - profit, non - stock corporation for use as a public hospital, and
further providing that any deed of conveyance or instrument of transfer of such property
in order to be valid and binding upon the County, must contain specific provisions
therein that the property con eyed is to be held and used permanently for the purpose
of operating a public non- profit, non -stock hospital in Harnett County, whose
facilities shall be open to the public in general and to indigent patients of Harnett
County specifically; and
WHEREAS, this Board desires to convey the hospital facilities constructed with
said Federal grant to Dunn Hospital, Incorporated, pursuant to the provisions of said
Act approved "'arch 18, 1947, and deems it advisably to obtain the consent of the Fed-
eral Works Administrator; who is now in charge of liquidating the Public Works
Administration program, to such conveyance; and
WHEREAS, this Board has caused to be prepared, pursuant to said Act entitled
An Act to authorize the board of County Commissioners of Harnett County to dispose
of the properties of the Harnett C oanty Hospital ", a deed of conveyance covering
the County's interest in the Harnett County Hospital and conveying to Dunn Hospital
Incorporated, all of the County's interest in the Harnett County Hospital, including
both real andpersonal property, a copy of which deed is attached he e to and made a part
hereof; and
WHE+ EAS, it is specifically required under the provisions of said deed, that Dunn
Hospital Incorporated shall establish, a trust for the specific purpose of assuring
the construction of additions and improvements by the Dunn Hospital Incorporated, to
Harnett County Hospital, costing shot less that '854,000 as soon after the conveyance
thereof as is pzeacticable and a copy of the •1nstrument creating such trust is hereto
attached and made a part of this res lution;
NOW, THEREFORE, Be it Resolved by the board of County Commissioners of the.
County of Harnett, State of North Carolina, as follows:
1. That it is in the public interest and to the best advantage of the people
of the County of Harnett for the County to convey all of the County's interest in the
Harnett County Hospital to Dunn Hospital, Incorporated, pursuant to the provisions.
of "An Act to authorize the Board of County Commissioners of Harnett County to
dispose of the properties of the riarnett County Hospital ", ratified an ivarch 18, 1947;
2. That it is the desire and purpose of this "oard to convey all of the interest
of the County of Harnett in the Harnett County Hospital to Dunn Hospital,In.corporated
subject to the requirements of said Act, including specifically the condition that
the hospital property thus conveyed or transferred is to be held and used permanently
for the purpose of operating a public, noneprofit, non -stock hospital in Harnett
County whose facilities shall be open to the public in general and to indigents of
Harnett County specifically, and the further condition that the instrument of
conveyance shall require the grantee or recipient of the property to assume all mort-
gages, encumbrances, or other legal obligations of the County of Harnett in respect
to the properties conveyed or transferred;
3. That upon the basis of information and data presented to the Board, the
Board is satisfied that '/unn Hospital, Incorporated, has available or will have
available sufficient funds to maintain and operate aaid hospital in a proper manner
for the benefit of the purple of the County of Harnett, and will fulfill the require -
ments of said Act ratified on March 18, 1947, if the conveyance of the hospital
properties be made to said Dunn Hospital, Incorporated;
4. That this Board has carefully examined the attached Deed of C onveynce and
is satisfied that it is in conformity with the requirements of said Act ratified on-
`°`arch.18, 1947 and, therefore, hereby approves the same and authorizes its execution
in behalf of the County of Harnett as he einafter provided,;
5. That the Chairman of this Board be authorized and he is hereby directed to
execute in behalf of the County of Harnett the said Deed of Conveyance, and that the
Clerk of this Board attest the execution thereof by the Chairman and affix thereon, in
attestation thereof, the seal of the board of Commissioners of the County of Harnett,
such execution and attestation tobe effected only upon receipt from the Federal Works
Administrator of his written consent to such conveyance.
6. That said Board has carefully examined the attached copy of the Instrument
of Trust and is fully aatisfied that it its in good legal form and of binding effect

and that under said instrument the construction by the Dunn Hospital, Incorporated,
as soon as practicable after the conveyance of the hospital properties to said
corporation of an addition to the present "arnett County Hospital costing not less
than 154,000 is reasonable assured;
7. That the conveyance by the County of Harnett of said hospital properties to
Dunn Hospital, incorporated does not constitute an attempt to divert to a private pur-
pose Federal funds made available for useful public works and that on the contrary
the proposed conveyance follows a long period of operation of the hospital under the
control andjurisdicti.on of the Cc -nty of 'ia ^nett and the realization in the light
of such period of public ope•ation and control that the hospital needs of the people
of the County of "arnett cannot he properly satisfied under County operation, and
that such needs can best be met through the proposed conveyance to Dunn Hospital,
Incorporated;
8. That the Harnett County Hospital was constructed in part with funds provided
by a private benefactor actively interested in the welfare of the people of Barnett
Cennty, andthe funds for the const ^notion of the proposed addition to said hospital
are being provided by the same benefactor, and this board has determined that the
conveyance of the hospital to Dunn Hospital, incorporated, will clearly benefit
the public at large and will not benefit or result in any profit or pecuniary advantage
in favor ofa any particular individual or individuals;
9. That in view of all the facts and circumstances the Chairman of this Board
is hereby instructed and directed to roquest the Federal Workd Administrator to
consent to the conveyance to Dunn Hospital, Incorporated, of all the interest of the
County of Harnettid the Harnett County Hospital under the said deed of conveyance and
that a certified cony of this resolution, including copies of the said Deed of Convey-
ance and instrument of Trust, be forthwith forwarded by the said Chairman with such re-
quest, and t a t said `' hairman submit to the Federal ';forks Administrator such
additional data as he may require.
10. That said Chairman specifically advise the rederal 'Works Administrator of
the time limitation in the said Act entitled "An Act to authorize the board of County
Commissioners of '`arnett County to dispose of the properties of the "arnett County
Hospital ", requiring the conveyance to be made nrior to "ug'ist 18, 1947 and urge
the Federal ;forks Administrator to advise the County of his decision sufficiently
in advance of such data to enable the County to meet such statutory time limitation.
11. That thisresolution including the attached Deed of Conveyance and Instrument
of Trust be published once i.n the Dunn ✓ispatch and cnee in the "arnett County
aews (the only newspapers of general circulation published in Barnett Countye, as .soon
after its adoption as practicable.
Mr. i'L Cromartie, Jr Sncreatry of Dunn Hospital, Innor- orated, presented to
the -oard of Commissioners of the County of "arnett the original of an agreement in
the nature of a trust setting up a fund of 'fifty Four Thousand Dollars (154,000)
to be used for the expansion and improvement of the hospital at Dunn, North Carolina
presently known as Harnett County Hospital, w'.tch said Trust Agreement is as follows:

THIS AGREE ".FNT made between the Dunn Hospital, Inc. a non -stock and non - profit
charitable organization organized and existing under the laws of the State of North
Caral'na, with its principal place of business in the l own of Dunn, North Carolina,
party of the first part, and The Commercial Rank, a North Carolina banking corporation
with its principal office at Dunn, North Carolina, acting as Trustee as hereinafter
set forth, party of the second part; WTTNESSETH:
Whereas the General. Assembly of North Carolina enacted an Act entitled "An Act
to authorize the Board of County Commissioners of "arnett County to dispose of the
properties of the "arnett County Hospital."
Ahd whereas, the Dunn Hospital, Inc has agreed to purchase from the County of
"arnettall real and p rsenai property constituting the Harnett County Hospital, sub -
ject to all conditions and provisions contained in said Act and subject also to all to
and conditions imposed by the Federal °arks Director;
And whereas, the Board of Commissioners of arnett County in a Resolution passed
at an adjourned meet°ng on Wednesday, August 6th, 1947 requested that the Federal
Works "irector require that a deposit of not less than the stun of ;?54,000.00 be made
to a Trustee by the said Dunn Hospital, Inc which said sun of 154,000.00 is to be
used as s ^on as if Practicalhe after a conveyance of the saidhospital site and
equipment has been made, which said sum shall be used for the specific purpose of the
constructim of addit ons and improvements to the present hospital bui'ding now
situated on the site a',ove referred • to and hereinafter described;

And whereas, the Commercial Bank has agreed to act as said Trustee in the dis-
bursement of the said sum of .754,000.00 which the Dunn Hospital, Inc has agreed to
deposit for the aforesaid purpose;
Now, therefore, the said parties do agree as follows:
First, That the party of the first part has this day delivered and deposited with
the party of the second part, andthe party of the second part has this day received
from the party of the first part the sum of (p54,000) Fifty four Thousand and No /100
Dollars.
Second. That this is an irrevocable trust and the life of the same is to continue
and terminate as hereinafter expressly stipulated.
Third. That the said sum of •fifty our Thousand Dollars ($54,000) is to be used
in the construction of additions and improvements to that hospital building located
within the corporate limits of the Town of Dunn and being situated upon that city
block which is bounded on the North by -Pest Harnett Steeet, on the East by North
Ellis Avenue, on the South by West Edgerton Street, and on the West by North Orange
Avenue.
Fourths That the party of the second part shall have custody 'of all of said sum
of $54,000.00 until the party of the first part begins the construction of the said
additions and improvements to said hospital building.
Fifth. That when the said party of the first part has begun the construction
of the said additinns and improvements to the said hospital building, the said party
of the second part shall disburse from time to time,.as the progress of the construction
of said improvements and additions is made, to the persons, firms of corporations
making said improvements and additions; it being the intention of this trust agreement
that the said fund of $54,000.00 shall be disbursed by the party of the second part
only when the party of the second part is satisfied that the said fund's are being
applied and used towards the aforesaid additions and improvements to said hospital
building.
Sixth. That this trust shall terminate and the duties of the Trustee shall cease
only when the party of the second part has deposited with the Board of Commissioners
of Harnett County receipts from the persons, firms or corporations making said
additions and improvements and/ or furnishing materials therefor, In the aggregate
sum of at least :54,000.00.
In Testimony ° °hereof, the Dunn Hospital, Inc has caused these presents tote
executed in its corporate name by its Chairman of tts Board of Trustees, attested by
its Secretary to said Board of Trustees and its corporate common seal hereto affixed
all by authority of a Resolution of its Board of Trustees adopted on this August
6th, 1047, and the said Commercial Bank has caused these presents to be signed in its
corporate name by its President and.attested by its Secretary - Cashier, and its
common corporate seal hereto affixed all by authority of a Resolution of its Board
of Directors duly adopted on tats August 6th 1947.

Pursuant to the resolution adopted at this meeting as hereinbefore set out
Mr Angus,A Cameron, chairman to the Board of Commissioners of arnett County, executed
a deed to Dunn Hospital Incorporated, oh behalf of the County of Harnett, and
caused the dame to be attested by Inez Harrington, Register of Deeds and ex officio
clerk to the Board of Commissioners of the County of Harnett, and impressed the
corporated'seal of said county on said instrument, the said deed being as follows:

THIS DEED made this the 6th day of August 1947 by and betweenthe Board of
Commissioners of arnett County, a body politic and corporate, existing under
authority of the General Assembly of North Carolina, party of the first part, and the
Dunn Hospital, Inc a non - profit, non -stock and charitable orgaAization, incorporated
under the laws of the State of North Carolina and existing by virtue of said law,
party of the second part; WITNESSETW
That whereas the Board of Commissioners of "arnett County were authorized by an
Act of the General Assembly of North Carolina, ratified on March 18, 1947 and entitled
"An Act to authorize the Board of County Commissioners of Harnett County to dispose
of the properties of the `larnett County Hospital," to execute and deliver upon such
considerations as the said Board of County Commissioners might deem to be adequate
and subject to the restrictions set out in said Act, and also the conditions hereinafter
set out, a deed or deeds of conveyance or other legal instruments conveying the County's
interett in those properties, both real and personal, constituting the 'arnett County
Hospital, and more particularly described hereinafter to a non - profit, non -stock
corporati n, for use as a public hospital in Barnett County;
And whereas, the Dunn Hospital, Inc is a non - stock, non - profit and charitable
corporation, and does desire to purchase the County's ihterest in said properties
and has Tamed the payment of all mortgages, encumbrances or other legal obligations

of the County of Harnett in respect to the properties hereinafter described;
And whereas, thepresent facilities or the said "arnett County Hospital are inade-
quate for the public health needs of the citizens of Barnett County, and the County
of Harnett is now without the necessary funds to make the much needed additions and
improvements to said hospital building;
And whereas, it is most unlikely that a bond issue would be voted favorably
by the qualified voters of arnett County to provide funds with which to make such
needed additions and improvements to said hospital building and equipment;
And whereas, the Dunn Hospital, Inc stands ready, willing and able to operate
and maintain the said Harnett County Hospital for the use of the public in general
and to the indigent patients of "arnett County specifically, and to make as soon
as is practicable additions and improvements to said building and equipment to a
value of not less than Fifty Four Thousand and No /100 054,000.00) Dollars;
And whereas, it is theconsidered opinion of the 'oard of Commissioners of
"arnett County, after a public hearing held ,just prior to the passage of the above
entitled Act, that it will he to the best interest of the people of "arnett County
that thin conveyance be made, and that the obligations to be performed by the said
Dunn Hospital, Inc are an adequate consideration for this deed;
Now, therefore, inconsideratinn of the premises and the faithful performance
on the part of the Dunn Hospital, Inc of all the conditions hereinafter set out, the
said Board of Commissioners of Harnett County has bargained and sold, andby these
presents does bargain, sell and convey, subject to all of the provisions and conditions
contained in the above mentioned Act, and also to those conditions and provisions
hereinafter set out, to the said Dunn Hospital, Inc its successors and assigns, all
right, title and interest which the County of "arnett has in the following described
real and personal properties:
a. All hospital supplies and equipment of every kind and description used in
connection with the operation of the "arnett : ;ounty Hospital at Dunn, North Carolina.
b. That lot of landsituated n the Town of Dunn, "arnett County, North Carolina,
and described as follows:
Beginning at the Intersection of the Northern edge of West Edgerton Street, and
the 'Western edge of North Ellis Avenue in the 'Town of Dunn, North Carolina, and
runs in a Northern direction among the Western edge of North e11is Avenue 300 feet
to the "outhern edge of "lest arnett Street; thence in a lestern direction along the
Southern edge of "lest "arnett Street 300 feet to the Easter- edge of North "range
Avenue: thence a1-nr the Eastern edge of North Orange Avenue in a Southern direction
300 feet, to the Northern edge of ''Jest Edgerton Street; thence along the Northern
edge of West - Edgerton Street, in an Eastern direction 300 feet to the beginning,
forming one block of land designated as one block of land "A 3" as shown in the map
of Dunn, recorded in Book F`2, page 593, and being the same lot conveyed to the County
of Harnett by the Dunn Hospital, Inc, by deed dated September 22 1938, and recorded
September 30, 1938, in Book 268, page 240.
To Have and To Hold said lands and properties and all privileges and appurtenances
thereunto appertaining or belonging unto the said Dunn Hospital Inc its successors
and assigns, in fee simple, forever, subject to the following restrictions and
conditions, which conditions and restrictions are and shall be construed and deemed
as covenants running with the properties herein conveyed;
(1) i'hat the hospital properties thus conveyed and transferred are to be held
and used permanently for the purpose of operating a public, non- profit, non -stock
hospital in Harnett County, whose facilities shall be opened to the public in general
and to the indigents of Harnett County specifically.
(2) That the Bunn Hospital, Inc shall assume all mortgages, encumbrances, or
other legal obligations of the County of harnett in respect to the properties conveyed
and transferred herein.
(3) That the Dunn Hospital,

(5) That the non- performance of any of the foregoing conditions and restrictions
shall render this deed null and void and of no effect, and the title to the properties
herein conveyed shall revert to the -aunty of "arnett at the election of its governing
body; but the determination of whether any of the forego'g conditions or restrictions

have been violated shall be made by a Court of competent jurisdiction.

these presents to be signed on behalf of County of 'larnett by its Chairman and its
members of its Board of Commissioners, attested, by the Clerk to said Board of
Commissioners, and the common corporate seal of said Board of Commissioners of
Harnett County affixed hereto, all by authority of a Resolution duly adopted by
