The Harnett County Board of Commissioners met at 12:00 o'clock noon on February 27, 1968, at
The Village Inn Restaurant in Dunn. M. H. Brock presided with J. E. Womble, W. J. Cotton, Jr., C. E.
McLamb, Gilbert Brown,, and Attorney Wiley F. Bowen in attendance.
Upon motion of W. J. Cotton and second by J. E. Womble, the following resolutions were unanimously
adopted:
(1) WHEREAS, the Board of Commissioners of Harnett County has heretofore been duly
authorized to serve as the Harnett County Mental Authority pursuant to N. C. General Statute
122 -35, 14: and,
WHEREAS, the Lee- Harnett Mental Health Advisory Board has been created to serve
the citizens of Lee and Harnett Counties;
THEREFORE, BE IT RESOLVED that the Lee Harnett Mental Healty Advisory Board
shall have the responsibility of overseeing all out - patient services connected with the
operation of the Lee- Harnett Mental Health Center.
(2) WHEREAS, it has been determined that an out- patient facility of the Lee- Harnett
Mental Health Center will be located in Harnett County.
WHEREAS, the Board of Commissioners of Harnett County has resolved to provide
all local funds necessary for the construction of said facility;
THEREFORE, BE IT RESOLVED, that the Board of Commissioners of Harnett County hereby
agree to provide a site for the construction of the Harnett County unit of the Lee- Harnett Mental
Health Canter upon a site to be selected.
(3) WHEREAS, an agreement has been reached between the Board of Commissioners of Lee
County and the Board of Commissioners of Harnett County as to the establishment of the Lee -
Harnett Mental Health Center; and,
WHEREAS, one unit of said mental health center will be located and built in Harnett
County when funds are available;
THEREFORE, BE IT RESOLVED that all local funds necessary for the construction of
the Harnett County Unit of the Lee- Harnett Mental Health Center be provided by the Harnett
County Board of Commissioners in consideration of the location of one of the units of said
mental health center in Harnett County.
Upon motion of W. J. Cotton and second by Gilbert Brown the Chairman and Clerk are hereby
authorized to execute the original agreement between the Board of Commissioners of Lee County and
the Board of Commissioners of Harnett County relative to the formation of the Lee- Harnett Mental
Health Authority and Advisory Board, a copy of said agreement incorporated herein.

LEE AND HARNETT COUNTIES
THIS AGREEMENT, made and entered into this day of February, 1968, by and between
The Board of Commissioners of lee County, North Carolina party of the first part and the Board
of Commissioners of Harnett County, North Carolina, party of the second part;
W I T N E S S E T H:
WHEREAS, said counties have agreed to create the Lee- Harnett Mental Health Authority
and the Lee- Harnett Mental Health Advisory Board to operate the proposed Lee - Harnett Mental Health
Center for the joint use and benefit of the. citizens of Lee and Harnett Counties; and whereas
said counties have made certain agreements and desire to reduce their agreements to writing.
THEREFORE, in consideration of the premises, it is mutually contracted and agreed as
follows:
1. That the Lee - Harnett Mental Health Authority, consisting of the Boards of Commissionez
from each of said counties, is hereby created and the necessary agreement with the State of North
Carolina shall be executed in accordance with North Carolina General Statute 122 -35.4.
2. That the Lee - Harnett Mental Health Advisory Board is hereby created; that said
Board shall be composed of ten menbers, five of whom shall be residents of Harnett County and
appointed by the Harnett County Board of Commissioners and five of whom shall be residents of Lee
County and appointed by the Lee County Board of Commissioners; said members shall be appointed for
three year terms and shall be eligitle to succeed themselves in the discretion of the appointing
authority; provided, however, that in appointing the advisory board members, one member
from each county shall be appointed for a one year tens; two members from each county shall be
appointed for two year terms; and two members from each county shall be appointed for three year
terms.
3. That the in- patient and emergency services of said Mental Health Center shall be
located in the Lee County Hospital.

4. That each of said counties will provide a site for the construction of a unit of
said mental health center; that each of said counties will provide 15% of the construction funds for
building the unit in its respective county.
5. That each of said Boards of Commissioners will provide all local funds necessary to
sustain the mental health center's yearly operating program.
IN WITNESS WHEREOF, the parties to this agreement have caused this instrument to be
signed in their respective names by their Chairmen and attested by their Secretary or Clerk, and
their official seal to be hereto affixed, this the day and year first above written.

Upon motion of W. J. Cotton and second of Gilbert Brown, be it resolved:
That the tabled motion to give the trustees of the Betsy Johnson Hospital a deed to the old
hospital property be taken from the table and that no further action regarding this issue be taken
the Commissioners at this time.

That it appears from the advice of the County Attorney and Attorney General of the State of North
Carolina that the Commissioners have no authority to execute the deed. Copies of letters of opinions
are incorporated herein.

Dear Mr. Bruton:
The Harnett County Board of Commissioners has been requested to execute a deed releasing the
County's interest in the property now being used by the Betsy Johnson Memorial Hospital, Inc.,
Dunn, North Carolina. A copy of the proposed deed is enclosed.
As County Attorney, I have advised the commissioners that G.S. 153 -1 provides the County...
"Has the powers prescribed by statute, and those necessary implied by law, and no others; further
that G. S. 153 -2, Subsection 2, authorises the County "To purchase and hold lands within its limits
and for the use of its inhabitants, subject to the supervision of the general assembly." Therefore
inasmuch as the general assembly has exercises specific supervision over this particular piece of
property, chapter 508 of the 1947 Sessions Law of North Carolina, pages 642 -643, the Commissioners
would not have the authority to execute the deed without authority from the legislature.
I am also enclosing a copy of the original deed for your information.
Please provide us your opinion as to whether or not the commissioners have authority to execute
the proposed deed.

Dear Mr. Bowen:
This will acknowledge receipt of your recent letter and confirm our telephone conversation concerning
the above subject matter. You raise the question as to whether the Commissioners of Harnett County
have authority to release from the operation of a deed certain conditions and restrictions, the same
have been required by an Act of the General Assembly.
The deed containing the conditions and restrictions, dated August 6, 1947, was executed pursuant
to Chapter 508 of the 1947 Session Laws, Section 2 thereof being as follows:
"Sec. 2. No conveyance or treater of property under the permissive authority of this Act
shall be valid or binding unless the sane be made to a nonprofit, nonstock corporation for
use as a public hospital in Harnett County, and any deed of conveyance or instrument of
transfer of real or personal property made hereunder, in order to be valid and binding upon
the county, must contain specific provisions therein to the effect that such conveyance
or transfer is made upon the condition that the property conveyed or transferred is to be
held and used permanently for the purpose of operating a public, nonprofit, nonstock
hospital in Harnett County whose facilities shall be open to the public in general and to
indigent patients of Harnett County specifically; and all such deeds of conveyance or
instruments of transfer shall carry the further consideration that the grantee or recipient
assumes all mortgages, incumbrances, or other legal oblications of the County in Harnett
in respect to the properties conveyed or transferred."
Counties are a part of State Government each being a body politic and corporate, having the powers
prescribed by statute, and those necessarily implied by law and no other. See G.S. 153 -1.
G.S. 153 -2 prescribes certain powers of counties which include the power "To pi/phase and hold
lands within its limits and for the use of its inhabitants, subject to supervision of the General
Assembly."
The General Assembly, in exercising its supervisory power, permitted the Board of Commissioners of
Harnett County to convey the property in question subject to the conditions set forth in the Act.
I am of the opinion that without specific authorization of the Legislature the County Commissioners
have no authority to execute a deed releasing conditions imposed by the General Assembly in a prior
conveyance.
It is hoped the foregoing may be of assistance to you.
