HomeMy WebLinkAbout04301990 - --_._-----~~~ 289 HARNETT COUNTY BOARD OF COMMISSIONERS SPECIAL ~1EETING, APRIL 30, 1990 The Harnett County Board of Commissioners met in special session on Monday, April 30, 1990, in the County Office Building, Lillington, North Carolina, with the following members present: Rudy Collins Bill Shaw, Mack Reid Hudson, I and Chairman Lloyd G. Stewart presiding. Commissioner Mayo Smith was absent. Others present were Dallas H. Pope, County Manager; John M. Phelps, II, Public utilities Attorney; Vanessa W. Young, Clerk to the Board; and Kay S. Blanchard, Recording Secretary. Chairman stewart called the meeting to order at 7:30 p.m. PUBLIC HEARING ON Chairman Stewart called to order a public hearing in joint session with MINORITY CONTRACTING Northeast Metro Board concerning Minority Contracting Goals. GOALS John M. Phelps, II, Public utilities Attorney, provided the following comments concerning Minority Contracting Goals and explained that the purpose of the public hearing was to obtain public comments concerning the proposed resolution regarding Minoritv Contracting Goals: First, I would like to restate that with respect to the Board of Commissioners of Harnett County, this Public Hearing has been noticed as and is now being conducted by that Board sitting in its capacities as the governing body of the County of Harnett and the following county water and sewer districts: South Central Water and Sewer District of Harnett County West Central Water and Sewer District of Harnett County Northwest Water and Sewer District of Harnett County Southwest Water and Sewer District of Harnett County Southeast Water and Sewer District of Harnett County Bast Central Water and Sewer District of Harnett County Buies Creek-Coats Water and Sewer District of Harnett County I The North Carolina General ASSembly, during its 1989 Session, amended N.C. Gen. Stat. 143-128. This statute deals with building construction contracts. The key features of the statute, as amended, are as follows: a. Use of the single prime contract system is optional. Units may continue to use only the multiple prime method. b. If bids are taken on the single prime basis, bids must also be taken under the multiple prime approach, with the contract awarded under the method that results in the lowest bid. c. Bidders under the single prime approach must identify their subs. d. Units may prequalify bidders when using either the single or multiple contracting approach. e. Lastly, all building contracts of $100,000 or more must now include minority participation goals. Each local governmental unit must establish its own verifiable percentage goal for participation by minority businesses after notice and a public hearing. The last feature mentioned is the reason for our current proceedings, that is, to hold a public hearing regarding establishment of verifiable percentage goals for participation by minority businesses. At the current time, a large portion of the construction projects being implemented in the Harnett County area involve water and/or sewer utility services. These projects are generally implemented under one of two approaches, which are as follows: a. The County of Harnett, acting through its Department of Public Utilities and pursuant to management contracts with the countv water and sewer districts existinq in the I County, causes projects to be constructed. In these instances, the Contracts are put our for bids and entered into by each county water and sewer district. The Board of Commissioners, by statute, is the governing body of such districts. Consequently, this is the reason for the Board to sit during this hearing as the governing body of the County and as the governing body of the several county water and sewer districts mentioned earlier. b. The Count I of Harnett, acting through its Department of Public Ut lities and pursuant to lease agreement with the Borthe.st Metropolitan Water District of Harnett County, causes projects to be constructed. In this instance, the contracts are put out for bids and entered into by the Bortheast Metropolitan Water District of Harnett County. This is the reason for the District Board of the Northeast Metropolitan Water District of Harnett County to sit jointly with the Harnett County Board of Commissioners for this hearing. 290 I would now like to describe the manner in which this public hearing has been provided for. At its meeting on April 16, 1990, the Board of Commissioners of Harnett County, acting as such and as the governing body of each of the above named county water and sewer districts, by resolution, provided that this public hearing be conducted. Similarly, at its meeting on April 17, 1990, the District Board of the Northeast Metropolitan Water District of Harnett I County, by resolution, provided that this public hearing be conducted. Notices of the Public Hearing were published in the April 25 issues of The Daily Record, Dunn, North Carolina, The Harnett Countv News, Lillington, North Carolina and The Angier Indeoendent, Angier, North Carolina. Additionally, copies of the notices were mailed to all 192 minority businesses listed on the North Carolina Minority Business Directory as provided to the County by the Minority Business Development Agency of the North Carolina Department of Commerce. That Agency, and the North Carolina Institute of Minority Economic Development, Durham, North Carolina were advised of this public hearing, and the other required legal notices were made. I would request that the list of minority businesses to which the notices were mailed, as above described, be spread upon the minutes of this public hearing. Having provided you with this background, let me now give you and the public in attendance some additional facts regarding the amended statute and minority participation goals. The new statute sets a specific percentage participation goal for state projects. Local governments and other public entities are responsible for ascertaining their own -appropriate verifiable percentage goal.- The statute also defines certain terms. A -minority business- is a business or corporation in which at least Sit is owned by one or more minority persons and of which the management and daily business operations are controlled by one or more of the minority persons who own it. A -minority person- means a United States Citizen or permanent resident who is black (having origins in any of the black racial groups in Africa); hispanic ( of Spanish or Portuguese culture with origins in Mexico, South or Central America or the Caribbean Islands); Asian Americans (with origins in any of the original I peoples of the Far East, Southeast Asia and Asia, the Indian subcontinent and the Pacific Islands); American Indian or Alaskan Native (with origins in any of the original peoples of North America); or female. The statute provides that in the process of adopting its verifiable percentage goal, the awarding authority is required to adopt written guidelines specifying the actions that will be taken to ensure a good faith effort (on the part of the awarding authority) in the recruitment and selection of minority businesses for participation in contracts awarded. As to separate specification contracts, the burden is on the awarding authorities to undertake good faith efforts to involve minority businesses in the bidding process. with regard to single prime contracts, the good faith burden is on the prime or general contractor, but the awarding authority must assure that the contractor meets that burden. The statute requires that contracts be awarded to the lowest responsible bidder or bidders, without regard to race, religion, color, creed, national origin, sex, age or handicapping condition. The assumption underlying the minority participation requirements is that efforts to involve minority contractors, subcontractors, and suppliers in the bidding process will result in an increased number of those minorities presenting the lowest responsible bid or bids. Later this evening, I will present to you the written guidelines that we suggest may be used to specify the actions that will be taken to ensure a good faith effort to be made in the recruitment and selection of minority businesses for participation in contracts awarded. I will be happy to answer questions for the Boards or the Public as the proceedings continue. At this time, it would be appropriate to obtain public comment. I Mr. Phelps stated that notice of the public hearing was mailed to all businesses listed in the North Carolina Minority Business Directory, Construction Section. The mailing list is copied in full at the end of these minutes dated April 30, 1990, as document no. 1. Chairman Stewart opened the meeting for public comments. Citizen who identified himself as a minority licensed contractor who works mostly in New Hanover and Pender counties indicated support for resolution approval now. PUBLIC HEARING ON Chairman Stewart closed the public hearing concerning Minority Contracting MINORITY GOALS Goals CLOSED . John M. Phelps, Public utilities Attorney, read in full and presented a RESOLUTION RE: Resolution to Establish a Verifiable Percentage Goal for Participation by MINORITY CONTRACTING Minority Business in the Awarding of Building Construction Contracts Awarded GOALS Pursuant to N. C. G. S. 143-128. Commissioner Collins moved for the adoption of the resolution. Commissioner Shaw seconded the motion and it passed with a unanimous vote. The resolution is copied in full at the end of these minutes dated April 30, 1990, as document no. 2. PUBLIC HEARING ON Chairman Stewart called to order a public hearing on the Supervisory control SCADA PROJECT and Data Acquisition (SCADA) project. John M. Phelps, Public utilities Attorney, provided the following c...I."."ents concerning the SCADA project and explained the purpose of the public hearing was to obtain public comments concerning the SCADA project. Mr. Phelps comments were as follows: This public hearing was noticed pursuant to 'direction of the Board of Commissioners of Harnett County as set forth in a resolution adopted on April 16, 1990 entitled -Resolution Regarding Installment Purchase Contract-Supervisory Control and Data Acquisition System (Additional Loan). The public hearing is being conducted to obtain public comment on the advisability of the County of Harnett entering into an installment purchase contract as authorized under N.C. Gen. Stat. S160A-20 regarding the installment purchase and financing of the construction, acquisition I and installation of a Supervisory Control and Data Acquisition System or SCADA System. Basically, the SCADA System will monitor and regulate the water distribution systems operated by the County and will gather and analyze data. The system designed' will consist of a failover type microcomputer based master system, radio communication, and thirteen remote terminal units. The master system will be located at the water plant in Lillington and t~e remote terminal units will be located at the various pump stations and water storage tanks. The County has previously been through the process of authorizing an installment purchase contract. However, the amount of the first contract loan amount was $200,000. This figure was based upon estimates made prior to the opening of bids. After bid opening, it was determined that additional loan funds would be needed. The current contract loan amount is $235,000. The total cost of the SCADA System, based upon the outcome of the bids, negotiations with the lowest responsible bidder, and new information on other costs involved is'as follows: Acquisition/Installation $304,200 Administrative and Legal 6,000 Engineering/Technical Services 44,000 Capitalized Interest 10,000 Contingency ~.800 TOTAL 388,000 The revenue to finance the cost of acquisition of the SCADA System is planned to be derived from two sources, which are as follows: Cash Available $153,000 Loan Proceeds ~.OOQ 388,000 I The cash available is derived from monies currently budgeted for SCADA equipment associated with existing water facilities and on-going water facilities construction. As stated, the remainder of the cost of the SCADA System is to be financed. It is planned to be financed under an installment purchase contract under N.C. Gen. Stat. S 160A-20. As previously indicated, the County had authorized the execution of an Installment Purchase Contract in the amount of $200,000 with Firat Citbens Bank in Raleigh. Tonight, we are discussing the addition of $35,000 to that amount for a total loan amount of $235,000. ' Let me now give to you some particulars regarding Installment Purchase Contracts as required by the Local Government Commission. 292 In an installment purchase contract, the title rests with the unit (County) which earns equity in the property with each payment that is made. At the end of the payment schedule, the property is owed Mfree and clearM by the unit. The only security for repayment for the debt is the property itself. If the unit defaults on payment of the debt, the creditor may repossess the property, sell it, and apply the proceeds to the debt. Any remaining proceeds are payable to the unit. The contract may be terminated whenever the unit chooses not I to make a payment. At that time, the creditor may recover the property but it cannot force the unit to make any further payment or pay other damages. This means there may be no deficiency judgment allowed for amounts that may be owed when the sale of the repossessed property is insufficient to produce enough money to pay the entire remaining obligation. The Taxing Power of the unit (County) is not in any way pledged, directly or indirectly, to secure any monies due to any bank, assignee, or purchaser of the contract. There may be no "nonsubstitutibnM clauses in installment purchase contracts. A nonsubstitution clause prohibits the unit from substituting some other property for that which has been purchased if the unit does not make its payment and returns the equipment to the creditor. A unit may use escrow accounts in connection with the advance funding of transactions authorized by N.C. Gen. Stat. 5 160A-20, whereby the proceeds of such advance funding are invested pending disbursement. This enables the unit to secure funding at the beginning of the Project and set up a construction fund, from which draws can be made. The financing agreement may be privately placed with a single bank or financial institution or may be offered in a public sale through certificates of participation. The financing are tax exempt. If a unit acts or fails to act and the same causes the interest payable on the contract to become taxable, then the contract may bear interest from that date at a taxable rate agreed upon by the unit and the credi tor. That provision should not be applicable when interest becomes taxable for any other reason. This installment purchase contract must be approved by the Local Government Commission. In connection with obtaining the approval, an application for approval has been filed with the I Commission. In addition, a debt statement for the County has been prepared and filed in the office of the Clerk to the Board of Commissioners. The debt statement as filed indicates the following: Gross Debt $ 3,909,767 Deductions 342,144 Net Debt (Difference Between Gross Debt and Deductions) 3,567,623 Appraised Value 1,475,071,430 Percentage that Net Debt bears to Appraised Value .242' Additionally, Mr. Tart and I have had preliminary conferences with staff of the Local Government Commission regarding the contract. The Local Government Commission has advised that a lawsuit entitled wayne County Citizens Association for Better Tax Control, et. also vs the Wayne County Board of Commissioners was filed in the Superior Court of wayne County. This suit, among other things, challenges the validity and constitutionality of N.C. Gen. Stat. S 160A-20. The Trial Court upheld the constitutionality of the Statute. That ruling has now been appealed to the N.C. Court of Appeals, and a decision will not be available from that Court for several months. It is the advice of the Commission that the fact this lawsuit exists should be disclosed ,at this public hearing, and to the lender (bank) and to others involved. Therefore, a MDisclosure Statement II will be prepared associated with this matter. The advice of the Commission is to make the disclosures indicated and to proceed through the packaging in a careful manner and this we are attempting to do. With regard to this particular financing, the County requested I proposals from: 1. First Citizens Bank and Trust Company 2. Mid South Bank and Trust Company 3. MNC Government Finance 4. NCNB National Bank of North Carolina 5. Southern National Bank of North Carolina 6. Wachovia Bank and Trust Company The County previously selected the First Citizens proposal. First Citizens in our opinion offered the best proposal, and we feel it is still the best proposal. It is for a maximum of ten years. The interest rate proposed is a variable rate, equal to 72' of the Bank's prime rate for 120 months and 71.5' of prime for 84 months, subject to a minimum of 7' and a maximum of 8'. The County may payoff the debt early. A $200 early termination charge or 102' of principal, which ever is less would be due. -----.-- 293 First Citizens has also clarified in writing that an installment purchase contract would be' used. The same would be in substantially the same form as recommended by the Local Government CommiBBion. I It is the recommendation of the Utilities Department that the County contract with First Citizens for a 120 month term at the 72' of prime rate, with the cap of 8' and the floor of 7'. A yearly amortization schedule is provided in your packets. The payment amount would be $2,851. 20 each month assuming the maximum rate applies. The schedule also assumes the first payment is in July, 1990. This package represents the best for our cash flow purposes. Phelps, Public utilities Attorney, presented a Resolution Confirming SCADA PROJECT Bank Selection and Specifying Details Regarding Instal~ent Purchase Contract (Supervisory Control and Data Acquisition System). Commissioner Shaw moved for the adoption of the resolution. Commissioner Hudson seconded the motion and it passed with a unanimous vote. The resolution is copied in full at the end of these minutes dated April 30, 1990, as document no. 3. PUBLIC HEARING Chairman Stewart called to order a public hearing on the Northeast Harnett ON 201 WASTE- County 201 Wastewater Facility Plan Amendment. WATER FAC. PLAN AMENDMENT James M. Hawkins, P. E., Black & Veatch, explained that the purpose of the public hearing was to obtain public comments concerning the 201 Wastewater Facility Plan Amendment. Mr. Hawkins briefed the group on the area of Harnett County covered by the proposed amendment and explained guidelines used in preparing the amendment. He then made comments on the following items associated with the proposed amendment to the 201 Wastewater Facility Plan: 1. Background on the 201 project which provides evaluation of options to provide wastewater system support for Angier, Lillington, Coats-Buies Creek and Northeast section of Harnett County. 2. Evaluation Objectives: A. Maintain or improve water quality I B. Provide for growth C. Provide for schools D. Septage disposal 3. Provided background information on discharge limits for wastewater into the Cape Fear River. 4. Alternatives evaluated: A. No Action B. Upgrade and Expand Existing Plants C. Expansion of the Town of Erwin Plant D. Subregional Land Application E. New Regional Plant 5. Provided estimated costs on alternatives evaluated. 297 6. The most cost effective alternative was the proposal to construct a regional wastewater plant to service all four agencies. 7. The regional project cost was estimated to be $7.85 million. The following I ON 201 A~ENDMENT citizens provided comments concerning the Northeast Harnett County 201 Wastewater Facility Plan Amendment: 1- Torn Atkins, Rt. 4, Lillington - Expressed concerns on the following items: A. Why were landowners not notified when study began and alternatives were first being considered? Response: The agencies involved with providing wastewater service first had to develop a proposed project. Project has now been developed and property owners notified. B. What is the meaning of letter received by landowners - What procedure will be used to obtain land for project? What if landowner does not want to give up land? Response: Letter concerning land acquisition procedures was provided to land- owners based on federal directives. Land will be acquired based on procedures covered in letter received by landowners. C. How many acres are needed? Response: Approximately 10 acres. D. What happens after 20 years? Concerned with ground water pollution. Response: Plant if constructed will probably be expanded as capacity is needed and operate in excess of 50 years. There will be no ground water pollution. E. Why was this particular area selected for proposed system? Response: Proposed area was selected based on immediate needs. I 2. W. N. Porter, Erwin - Asked what was undesirable about the 84 acres that are for sale. Response: Area unusable for proposed plant site due to being surfaced mined. 3. Hayswood Atkins, Lillington - Questioned logic of proposed plant on south side of river when 4 towns were on north side and only one on the south side. Response: Proposed wastewater system is gravity and requires site selection based on area which will allow collection, treatment, and discharge. 4. Willis Atkins, Rt. 2, Lillington - Expressed concerns on the following items: A. Do property owners who received letters that their property is being considered as a possible location for anew system have to put their plans on "hold" until the County decides what it is going to do? Response: Letter received by property owners includes procedures that will be used if wastewater project is approved to acquire property for project construction. B. What if not enough citizens sign up for service from the proposed system? Response: Sign-ups are not a requirement for the system based on four agencies involved with project. CoD~ract: (8.peZ'Ylaoxy Coat:rol aDd Dab Aaq1&181t:loa 8yat:_> THAT WHEREAS, the Harnett County Board of Commissioners (hereinafter sometimes referred to as the -Board-), pursuant to actions taken and resolutions adopted February 5 and February 19, I 1990, determined that the County of Harnett should enter into an Installment Purchase Contract with regard to the acquisition and installation of a Supervisory Control and Data ACquisition System (hereinafter sometimes referred to as the -SCADA System-); and WHEREAS, said Contract was to be entered into with First Citizens Bank and Trust Company, Raleigh, North Carolina, with the amount of the loan associated therewith to be $200,000; and WHEREAS, due to the determination of final contract prices for the SCAnA System, it has been ascertained that an additional loan amount of $35,000 will be needed pursuant to said Installment Purchase Contract; and WHEREAS, the Board, at its meeting on April 16, 1990, announced its intent to enter into an Installment Purchase Contract with First Citizens Bank and Trust Company with the loan amount to be $235,000, under the same terms and conditions as the original loan amount, and WHEREAS, said SCADA System shall be used by the County Department of Public Utilities for the purpose of monitoring and regulating the water distribution systems it operates; and WHEREAS, pursuant to the direction of the Board, a second application has been filed with the North Carolina Local Government Commission seeking approval of the installment purchase contract with regard to the new loan amount; and WHEREAS, in accordance with N.C. Gen. Stat.
