For discussion purposes only, the City's Engineer prepared a map to further explain the land offer. The Dunn City Council would like to extend an offer to purchase approximately 25.92 acres: a portion of the reservoir property (parcel A -approximately 5.13 acres), the Erwin Wastewater Treatment Plant property (parcel B -approximately 14.9 acres), a portion of the Swift Wastewater Treahnent Plant property (parcel C - approximately 5.89 acres) including the transfer of any permits, appurtenances or easements from Harnett County. Also, the following items have been identified whereby the City may be willing to participate with the County in order to resolve: 1. The County's raw water line that 071420ws HCBOC Page 3 supplies water to the reservoir follows the City's existing southern property line until it terminates at the reservoir. It is unclear at this time if the County's raw water line will interfere with our design or site work but having an operational line inside the City's fenced property may not be ideal for either party. 2. The Dunn/Erwin Rail Trail would have to be relocated as we could not allow p edestrian traffic through the plant site. If the County finds this offer acceptable, the City would also like a due diligence period to give our engineer time to thoroughly inspect the properties prior to closing to ensure there are no concerns from an envirornnental or construction standpoint. Recognizing that the intent is to maintain representation from across multiple county districts, the Council voted to amend the bylaws as noted in red below. 2. Composition. Purpose . In connection with the issuance of securities in the public markets, the County of Harnett, North Carolina (the ''Counry') has entered into agreements obligating the County to provide continuing disclosure on certain information related to the County. The continuing disclosure obligations are entered into by the County to allow the underwriter(s) of the securities offered to comply with Rule 15c2-12 (the "Rule") promulgated by the Securities and Exchange Commission (the "SEC'). Given the increasing complexity of the Rule and scrutiny with respect to compliance with the Rule that will be undertaken by underwriters of future is suance of securities by or on behalf of the County and the desire by the County to ensure adherence with the County's continuing disclosure obligations, the County hereby adopts the following policies and procedures (the ''Policies and Procedures'). These Policies and Procedures are intended to serve as a guide for the County to facilitate compliance with its continuing disclosure obligations in accordance with the Rule. Part 11. Respons i bil ity o f County Officials . Except as otherwise described herein, the County's Finance Department (the "Department') has primary responsibility for ensuring that the County complies with its continuing disclosure obligations outstanding. The Department will consult with other departments within the County, as well as third-party professionals (e.g., the County's bond counsel and financial advisor), as necessary, to ensure compliance with these Policies and Procedures. The Finance Officer will review these Policies and Procedures no less frequently than on the issuance of any securities for which the County agrees to additional continuing disclosure obligations to ensure that the terms and conditions of these Policies and Procedures are up to date and that the County remains in compliance. Part 111. Se c urities Subje ct to Continu ing Disclo sure Obligation s. The County has entered into continuing disclosure obligations for the securities listed on Exhibit A hereto. A Financial Obligation will be considered "material" for purposes of the Rule if it exceeds $1,000,000. The Department will post the en tire relevant documents related to the Financial Obligation (with acceptable redactions identified b y the counterparty to the documents) in accordance with the Rule. Exhibit C includes a lis t of "Financi al Obligations" as identified in accordance with a materiality standard identified b y the County. Such li st should be reviewed and updated in accordance with Part VI below, as needed. Part V. Continuing Disclosu r e Ob l igations Con t rol. Notwithstanding anything in these Policies and Procedures, the terms of each continuing disclosure obligation made at the time the County issued or executed and delivered the related debt obligation controls. The Department will maintain records of each continuing disclo sure agreement. Part VI. Record keeping and Rev i ew of Policy . The County will maintain all records related to its compliance with its continuing disclosure obligations in such form and for such time period in accordance with the County's recordkeeping policies.
