TAKEDOWN PURCHASE AGREEMENT

THIS AGREEMENT("Agreement") is made this 71 day of February,2017("Effective
Date") by and between WJH LLC, a Delaware Limited Liability Company("WJH"),and Blackberry
Manor, LLC("Seller").
Recitals
A. Seller is the owner of certain real estate("Real Estate") located in Harnett County,
North Carolina known as Blackberry Manor.
8. Will is engaged in the business of building and selling single-family homes in North
Carolina,South Carolina,Georgia and Florida among other places.
C. WJH desires to purchase and Seller desires to sell a total of seven (7) fully
developed, residential building lets (the "Lots') located in Harnett County, North Carolina
pursuant to the terms and conditions contained in this Agreement.
Agreements
In consideration of the promises, covenants and agreements contained herein, the
sufficiency of which are hereby acknowledged, the parties agree as follows:
1. Incorporation of Recitals. The foregoing recitals are hereby incorporated into and made
a part of this Agreement as though set forth verbatim.
2. Earnest Money Deposit. Upon execution of this Agreement, WJH shall deposit earnest
money in the sum of Twenty-Thousand Dollars ($20,000.00) ("Earnest Money") and is
being released directly to the Seller as working capital and is to be used solely to facilitate
the clearing, padding and establishment of water connections for these lots. Seller agrees
that Buyers obligation to purchase these lots is expressly subject to the completion of the
above work. In consideration of the advancement of these funds and concurrently with
receipt of said funds, Seller shall execute a Deed of Trust in favor of Buyer against the
subject property in the amount equal to the amounts advanced.This contract shall serve
as evidence o' the secured obligation and this paragraph shall survive any subsequent
default by Seller. In the event that the Seller fails to perform as stated herein oris unable
to close on these Lots pursuant, Buyer may pursue any and all remedies available,
including but not limited to those available pursuant to the terms of this contract or the
said Deed of Trust and shall have the right to seek Specific Performance of Seller's
obligatlop rider this Agreement. At the closing of the lots, the Buyer shall receive as a
