This is a statewide tax software system jointly owner by Farragut and the NC Association of County Commissioners that is in use in 15 counties. Standardization, compatibility, and integration with our current systems is justification for the waiver. Our staff has also considered other billing and collections systems and no other compatible system has been identified. The cost of the upgrade is $185,475 to be paid in three yearly installments of $61,825. The three payments will be due July 1, 2015, July 1, 2016, and July 1, 2017. Services 1.1. Farragut agrees to provide installation, implementation, configuration, consulting, development, training, support, and /or other services as set forth in one or more agreed Statements of Work (the "Services "). Statement of Work No. 1 is attached hereto and incorporated by reference. The parties may from time to time agree to additional Statements of Work, each of which, when signed by an authorized representative of each party, will be deemed a part of and incorporated into this Agreement. Each Statement of Work will identify responsibilities of each party, and the parties shall work together cooperatively to complete their respective responsibilities. 1.2. All changes to a Statement of Work will be made pursuant to a mutually agreed Change Order. The form of Change Order is attached hereto as Exhibit A. The Change Order will address as necessary changes to the requirements, Statement of Work or cost of the Services. No changes to a Statement of Work will be effective unless authorized in a written Change Order agreed by the parties. 1.3. Customer agrees to cooperate with Farragut and promptly perform Customer's responsibilities under this Agreement. Customer will provide timely access to its key personnel and will timely respond to Farragut's questions relating to this Agreement or Farragut's performance under this Agreement and the associated Statements of Work. 1.4. Unless otherwise agreed in writing by the parties, Customer shall have sole responsibility for acquiring and maintaining its own technology environment, including but not limited to client workstations, operating systems, database software, servers, internet access, local area networks, and wide area networks. 2. Fees and Expenses 2.1. Customer shall pay Farragut the fees set forth in the applicable Statement of Work in accordance with the terms and conditions therein. If the Services are provided on a time and materials basis, any estimates provided by Farragut are for planning purposes only. Unless otherwise set forth in the Statement of Work, Farragut shall invoice Customer on a milestone basis upon acceptance of deliverables, and payments are due within fifteen (15) days of receipt of invoice. If payment is not made within thirty (30) days of receipt of invoice, then Customer agrees to pay 1.5% per month interest on unpaid amounts or the highest rate allowed by law, if lesser. In the event that Customer, in good faith, disputes any invoiced amounts, Customer shall notify Farragut in writing prior to the payment due date identifying in detail the reason why such charges are disputed. Customer may delay payment on disputed charges (but only disputed charges) pending resolution of the dispute. If any nondisputed amounts are past due, -1- Farragut may upon notice to Customer, and without waiving any rights or remedies, suspend performance under any or all Statements of Work until payments are current. Except to the extent set forth in a Statement of Work, all fees paid hereunder are nonrefundable. 2.2. Customer will not be required to reimburse Farragut for any out -of- pocket expenses incurred in the performance of Services, including but not limited to travel, lodging, meals, postage, freight, printing and long distance phone expenses, unless otherwise agreed in writing by Customer. 2.3. Customer shall be responsible for any and all applicable taxes, however designated, incurred as a result of or otherwise in connection with this Agreement, including but not limited to state and local privilege, excise, sales, and use taxes and any taxes or amounts in lieu thereof paid or payable by Farragut, but excluding taxes based upon the net income of Farragut. This provision does not apply to any taxes for which Customer is exempt and for which Customer has furnished Farragut with a valid tax exemption certificate authorized by the appropriate taxing authority. 3. Confidentiality and Proprietary Rights 3.1. "Confidential Information" means any information or data (including without limitation any formula, pattern, compilation, program, device, method, technique, or process) that is disclosed by one party (a disclosing party) to the other party (a receiving party) pursuant to this Agreement that is identified in writing as confidential or that would reasonably be recognized as confidential. Confidential Information does not include information that: (a) is or becomes publicly known or available without breach of this Agreement; (b) is received by a receiving party from a third party without breach of any obligation of confidentiality; (c) was previously known by the receiving party as shown by its written records; or (d) was independently developed by the receiving party as shown by its written records. 3.2. A receiving party agrees: (a) to hold the disclosing party's Confidential Information in strict confidence; and (b) except as expressly authorized by this Agreement, not to, directly or indirectly, use, disclose, copy, transfer or allow access to the Confidential Information. Notwithstanding the foregoing, a receiving party may disclose Confidential Information of the disclosing party as required by law or court order; in such event, such party shall use its best efforts to inform the other party prior to any such required disclosure and the other party may seek to obtain a protective order or other protections against the disclosure of its Confidential Information. 3.3. Upon the termination or expiration of this Agreement, the receiving party will return to the disclosing party all the Confidential Information delivered or disclosed to the receiving party, together with all copies in existence thereof at any time made by the receiving party, and will delete all electronic copies of such Confidential Information. 3.4. In the event that Farragut develops any custom software, scripts, documentation or other materials under this Agreement ("Work Product "), unless otherwise set forth in the Statement of Work, Farragut will be the sole owner of all intellectual property rights in such Work Product. In addition, Farragut shall retain all intellectual property rights in all methodologies, algorithms, software, documentation, know -how, techniques and other materials which have been previously developed or acquired by Farragut and that are used in connection with the Services. Upon receipt in full of all payments due under the applicable Statement of Work, Farragut will grant Customer a non - exclusive, perpetual, royalty -free license to use, copy and modify the Work Product solely in connection with Customer's internal operations. Customer agrees not to sell, distribute or otherwise disclose the Work Product to any third party, without Farragut's prior written consent; provided that Customer may disclose and transfer its license to the Work Product to an affiliated organization or to the acquirer of all or substantially all of Customer's business. 4. Term and Termination -2- 4.1. As a master agreement, this Agreement shall remain in place until terminated as set forth herein. 4.2. The term of a Statement of Work will begin when it is executed by both parties and will terminate when performance under the Statement of Work is completed and paid for, unless the Statement of Work is otherwise terminated as provided herein or in the Statement of Work. Either party may terminate this Agreement or any Statement of Work if the other party materially breaches this Agreement and such breach is not cured, or an acceptable plan for resolving the breach is not put in place, within thirty (30) days after written notice identifying specifically the basis for such notice. Termination of this Agreement is not the exclusive remedy for breach hereof, and each party may exercise any and all remedies available to it at law or in equity for breach, subject to the terms hereof. 4.3. Customer may terminate a Statement of Work by providing at least thirty (30) days prior written notice to Farragut, in the event that applicable county, state, or federal funds associated with such project are withdrawn. 4.4. The terms provided in Sections 3, 5, 6.1, 7 and 8 of this Agreement shall survive any termination of this Agreement. In the event of termination, unless such termination is due to a material breach by Farragut, Customer agrees to pay Farragut for all Services rendered and expenses incurred up to the date of termination (on a pro -rated basis for fixed -fee or milestone - based Statements of Work). 4.5. Except as otherwise set forth in this Agreement, termination of this Agreement by either party will be a nonexclusive remedy for breach and will be without prejudice to any other right or remedy of such party. Termination of this Agreement will not relieve Customer of its obligation to pay all fees and expenses that accrued before such termination. 5. Representations and Warranties 5.1. Farragut represents and warrants that it has the requisite knowledge, expertise and experience necessary to perform Services under this Agreement. Customer agrees to notify Farragut of any breach of this representation within ninety (90) days after completion of the Services, including all substantiating documentation. . 5.2. Customer represents and warrants that it has obtained or will obtain prior to Farragut's commencement of the Services all licenses and consents from third party vendors authorizing access to and /or modifications of software and /or technical information owned by such vendors and licensed to Customer, as required in order for Farragut to perform the Services. 5.3. Each party represents and warrants that it has received all necessary authority and approvals to enter into this Agreement, and that the negotiation and performance of this Agreement is not in conflict with any other agreement entered into by such party. 5.4. EXCEPT AS EXPRESSLY SET FORTH IN SECTION 5.1, FARRAGUT MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE OR ANY WARRANTIES ARISING AS A RESULT OF USAGE IN THE TRADE OR BY COURSE OF DEALING. 6. Liability and Insurance 6.1. All liability arising under or relating to the subject matter of this Agreement, whether under theory of contract, tort (including negligence), or otherwise, shall be limited to direct damages. Neither party, including its officers, directors, employees, agents, representatives, and subcontractors, shall have any liability to the other party or to any third party for any incidental, punitive, indirect, special or consequential damages, including but not limited to lost profits, loss of data, cost of recreating lost data, interruption of business, or costs of procurement of substitute goods or services, even if advised of the possibility of such damages, whether under -3- theory of warranty, contract, tort (including negligence), strict liability or otherwise. The aggregate liability of Farragut under any Statement of Work shall not exceed the total fees paid by Customer to Farragut with respect to the Statement of Work. The limitations of liability in this Section shall not apply to actions or inactions of a party that cause physical damage, bodily injury or death, or to the gross negligence or willful misconduct of a party. 6.2. Farragut will carry and maintain throughout the period of this Agreement, and for a period of two (2) years after termination of this Agreement, at Farragut's sole expense, insurance including specifically: (a) comprehensive general liability insurance covering claims arising out of or relating to bodily injury, including bodily injury, sickness, disease or death of any of Farragut's employees or any other person and to real and personal property including loss of use resulting thereof; (b) insurance for protection from claims under workmens' or workers' compensation insurance; (c) comprehensive automobile liability insurance, including hired and non -owned vehicles, if any, covering personal injury or death, and property damages; and (d) professional liability insurance claims arising out of or related to the performance under this Agreement by Farragut or its agents, subcontractors, and employees. Certificates of such insurance shall be furnished by Farragut to Customer within ten (10) business days after execution of this Agreement. Such certificates shall require the insurer issuing the underlying policy to provide Customer with a minimum of thirty (30) days notice prior to modification or cancellation of said policy. Upon notice of such cancellation, non - renewal or reduction, Farragut shall procure substitute insurance so as to assure the County that the minimum limits of coverage are maintained continuously throughout the periods specified herein. Farragut agrees that such insurance shall be primary, regardless of any other insurance coverage, which Customer may procure for its own benefit. The following minimum required coverage shall apply: • Worker's Compensation - Limits for Coverage A - Statutory State of N.C.; Coverage B - Employers Liability limits shall not be less than $1,000,000.00. • Commercial General Liability — Bodily injury and property damage liability as wit protect Farragut from claims of bodily injury or property damages which may arise from the operations of this Agreement. The amounts of such insurance shall not be less than $1,000,000.00 bodily injury and property damage — combined single limit per occurrence and $3,000,000.00 aggregate. This insurance shall include coverage for product/completed operations, personal injury liability and contractual liability. • Automobile Liability — Automobile bodily injury and property damage liability insurance when the services to be performed require the use of motor vehicles. Auto liability limits shall not be less than $1,000,000.00 combined per occurrence /aggregate. Professional Liability — (errors and omissions) with minimum limits of $1,000,000.00 The required limits above may be provided by a combination of an underlying policy and an Umbrella or Excess Liability policy. All insurance policies (with the exception of Worker's Compensation and Professional Liability) required under this Agreement shall name the County as an additional insured party for the insurance. 6.3. Farragut agrees to indemnify and hold harmless the County, its officers, agents, and employees from and against all third -party claims andj(fassociated loss, cost, damages, liability, claims or expense, including attorney's fees, arising out of the services rendered or purchased under the Agreement resulting in bodily injury including death or property damage to any person or persons caused in whole or in part by the negligence or misconduct of Farragut except to the -4- extent the same are caused by the negligence or willful misconduct of the County. County agrees to provide Farragut with: (a) prompt written notice of any claim requiring indemnification under this Agreement; (b) sole authority to defend or settle the claim; and (c) reasonable assistance and cooperation in connection with the defense of such claim. The County may participate in the defense of any such claim using counsel of its own choosing, at the County's expense. 6.4. Customer is responsible for assuring and maintaining the backup of all Customer data, software and network systems. UNDER NO CIRCUMSTANCES WILL FARRAGUT BE LIABLE TO CUSTOMER OR ANY THIRD PARTY FOR THE LOSS OF, CORRUPTION OF, OR DAMAGE TO CUSTOMER DATA, SOFTWARE OR NETWORK SYSTEMS. 6.5. The allocations of liability in this Section represent the agreed and bargained -for understanding of the parties and Farragut's compensation for the Services reflects such allocations. 7. Dispute Resolution 7.1. The parties agree to attempt to resolve any controversy, claim or dispute ( "Dispute ") arising out of or relating to this Agreement by means of good faith discussion and negotiation. In the event that a Dispute cannot be resolved at the project level, then designated senior executives of the parties shall meet and enter into further good faith settlement negotiations. If such senior executives cannot resolve the Dispute within thirty (30) days, the parties agree to try in good faith to settle the dispute by mediation administered by a mutually agreed third -party mediator before resorting to litigation. If the parties do not reach such solution within a period of sixty (60) days after engagement of a mediator, then, upon notice by either party to the other, any Dispute shall be finally settled in a court located in Harnett County, North Carolina, and each party agrees to jurisdiction and venue in any such court. 7.2. This Agreement shall be interpreted, construed, and governed by the laws of the State of North Carolina, without regard to conflict of law provisions. 8. Miscellaneous 8.1. During the term of this Agreement and for a period of one (1) year following the termination or expiration of this Agreement for any reason, neither party shall employ nor offer or seek to employ, either directly or indirectly, any person who, at that time or within the last six (6) months, was either employed by or engaged as an independent contractor by the other party and was involved in the delivery or receipt of services under this Agreement. 8.2. The parties are and intend to be independent contractors with respect to the services contemplated hereunder. Farragut agrees that neither it nor its employees or contractors shall be considered as having an employee status with Customer or having any claim to employee benefits of any kind offered by Customer. All persons employed by Farragut to perform Services shall be subject to the exclusive direction and control of Farragut. No form of joint employer, joint venture, partnership, or similar relationship between the parties is intended or hereby created. 8.3. Neither party shall be liable for any failure or delay in the performance of its obligations due to causes beyond the reasonable control of the party affected, including but not limited to war, sabotage, insurrection, riot or other act of civil disobedience, terrorism, strikes or other labor shortages, act of any government affecting the terms hereof, accident, fire, explosion, flood, hurricane, severe weather or other act of God. Each party shall promptly notify the other party in the case of an event arising under this Section. 8.4. This Agreement, including all Statements of Work, constitutes the entire understanding of the parties with respect to its subject matter, and supersedes all prior or contemporaneous written -5- and oral agreements with respect to its subject matter. Except as provided expressly herein, this Agreement shall not be modified, amended, or in any way altered except in a written amendment executed by both of the parties. No waiver of any provision of this Agreement, or of any rights or obligations of any party hereunder, will be effective unless in writing and signed by the party waiving compliance. 8.5. Headings used in this Agreement are for convenience of reference only and shall not be deemed a part of this Agreement. 8.6. Neither party may assign this Agreement or any right hereunder without the prior written consent of the other party; provided however that Farragut may assign this Agreement to the acquirer of all or substantially all of its business, so long as such acquirer agrees in writing to be bound by the terms of this Agreement and notice is provided to Customer within ten (10) days of such transfer of any new entity, address and /or contact(s). Any attempted assignment not authorized herein shall be null and void. Farragut will remain liable under this Agreement for actions or inactions occurring prior to the date of assignment. 8.7. Farragut may not use the name or other identifying characteristic of the County or its employees in any advertisements or promotions. 8.8. All notices required or permitted hereunder shall be in writing, delivered personally; by certified or registered mail, or by overnight delivery by an established national delivery service at the respective addresses first set forth above. Notices to Farragut shall be sent to the attention of Vice President, Local Government Solutions, or to such other person designated by Farragut in a written notice to Customer. Notices to Customer shall be sent to the attention of or to such other person designated by Customer in a written notice to Farragut. All notices shall be deemed effective upon personal delivery or when received if sent by certified or registered mail or by overnight delivery. 8.9. County is an equal employment opportunity employer. The County is a federal contractor, and therefore the provisions and affirmative action obligations of 41 CFR §601.4(a), 41 CFR 60- 741.5(a), and 41 CFR 60 -250.4 are incorporated herein by reference, where applicable. 8.10. ( "Farragut ") and Harnett County ( "Customer "), and is subject to the terms of the Master Services Agreement between the parties dated (the "Services Agreement "). The Effective Date of this SOW is 1. BACKGROUND Customer has acquired a license to certain software known as NCPTS ( "NCPTS ") from the NCACC pursuant to the licensing agreement (the "License Agreement "). . This SOW relates to the upgrade of NCPTS to Version 4 from Version 2 in Customer's environment. Customer has separately agreed to obtain support for NCPTS from Farragut pursuant to separate Support Agreements between Farragut and Customer (the "Support Agreements "). NCPTS are not considered a deliverable or work product under this SOW. Customer's rights to use NCPTS is solely as set out in the License Agreement. Also, all software created by Farragut under this SOW that is a new release, update, modification or derivative of NCPTS, or that is otherwise based on or related to NCPTS, will be considered part of NCPTS (and not part of the Work Product hereunder). All warranties related to NCPTS are set forth in the License Agreements and not this Agreement. 2. IMPLEMENTATION SERVICES AND FEES Attachment A to this SOW, incorporated herein by reference, contains overall tasks, project schedule, Farragut responsibilities, Customer acceptance criteria associated with the upgrade of NCPTS. Fees for the services total $185,475 and payments are due as follows $61,825 is due on July 1, 2016, and $61,825 is due on July 1, 2017, In the event of any conflict between the terms of the Services Agreement and this SOW (including the Project Plan), this SOW shall take precedence. an initial Project Plan outlining the responsibilities, deliverables, and . $61,825 is due on July 1, 2015, 3. DELAYS The parties agree to work together in good faith to meet established timeframes and avoid delays in the completion of Services. In the event that either party believes that a delay may be likely, whether due to factors within the control of such party or outside the control of such party, then it shall promptly notify the other party in writing and the parties will meet as soon as practicable to discuss ways to mitigate or avoid any such delays. Customer shall provide Farragut with access to Customer's technical personnel, facilities, databases, information, approvals and security clearance as set forth in this Statement of Work, an agreed Project Plan or other agreed project document. In addition, so long as Farragut provides reasonable advance notice, Customer will provide reasonably required office space and limited access to a telephone, computer, copier, printer and parking spaces. Customer also understands that certain individuals, because of their position or particular expertise, may be required to participate in the Services on an 'as needed' basis to attend meetings, provide answers, research issues, define policies, etc. - 8 - Customer acknowledges that a delay in the completion of the Services is likely to lead to additional costs for Farragut. In the event that Customer solely causes a delay of more than two (2) months in the completion of a major Phase of Services as defined in the Project Plan, then Customer agrees to pay Farragut a fee in an amount equal to one percent (1 %) of the total fees due for such Phase for each week that the Project is delayed past 2 months, up to a maximum of 10% (10 weeks). Farragut acknowledges that a delay in the completion of the Services is likely to lead to additional costs for Customer. In the event that Farragut solely causes a delay of more than two (2) months in the completion of a major Phase of Services as defined in the Project Plan, then Farragut agrees to provide Customer with a credit in an amount equal to one percent (1 %) of the total fees due for such Phase for each week that the Project is delayed past 2 months, up to a maximum of 10% (10 weeks). The parties agree that the fees and credits in this Section are not penalties but instead are good -faith estimates of the damages associated with delays to each party. In addition, this Section is subject to the terms of Section 8.3 of the Services Agreement (force majeure). 4. PROJECT MANAGERS Each party will appoint and maintain a qualified person as its "Project Manager" under this SOW. Each Project Manager will be the primary point of contact for this Agreement, will coordinate the party's activities and responsibilities under this SOW, and will respond promptly when contacted by the other Project Manager regarding this Agreement. Each party shall notify the other in writing of any replacement of its Project Manager. ACCEPTANCE Customer shall review each final deliverable ( "Deliverable ") to determine if it is in compliance in all material respects with the acceptance criteria set forth in the Project Plan. Customer shall provide Farragut in writing with its acceptance or rejection of each Deliverable within five (5) business days, unless a different time period is agreed by the parties. The Deliverable will be deemed accepted by Customer if Customer uses the Deliverable in a live, production setting or if Customer does not notify -9- Farragut of any problems within the five business day period noted above. Customer shall provide Farragut with detailed information and specific reasons in the event Customer rejects a Deliverable. In such event, Farragut shall promptly verify and will use commercially reasonable efforts to either modify the Deliverable or provide a reasonable workaround to address any verified issues within ten (10) business days. 6. EXCLUSIONS The following tasks are specifically not included in this SOW: a. Provisioning of any computer hardware. Customer will have sole responsibility for acquiring and installing any computer hardware needed to support NCPTS and Farragut Products at Customer's expense. b. Provisioning of any supporting software. Customer will have sole responsibility for acquiring and installing all software not licensed by Farragut at Customer's expense. This includes (but is not limited to) operating systems, relational databases, ESRI server products and ArcGIS Desktop products. c. Provisioning of test environment. If Customer desires a dedicated test environment (recommended), Customer shall be responsible for providing all required hardware and software for this environment. Should Customer desire to provision the test environment as a virtual machine, Farragut staff is available to provide technical assistance in creating the VM, but Customer will be responsible for providing the VM hosting hardware and all required third party licensed software. d. Interaction with non - Customer staff. There are frequently many organizations other than Customer who are interested in addressing, including municipalities, utility companies, delivery companies, and the post office. It is not uncommon for the interests of these different parties to be in conflict, and Customer has sole responsibility for meeting with and determining whether to and how to best meet the needs of any other interested parties. 7. ADDITIONAL TERMS Customer will, as applicable: (i) provide Farragut adequate, timely, safe and hazard -free access to its personnel, facilities, equipment, hardware, software, network and information, subject to Customer's reasonable security rules; (ii) provide adequate working and storage space for use by Farragut personnel near Customer's hardware, software and systems; (iii) provide Farragut full access to Customer's hardware, software and systems and sufficient computer time; (iv) follow Farragut's procedures for placing service requests and determining if remedial service is required; (v) follow Farragut's or applicable third party instructions for operator maintenance and for obtaining services; (vi) reproduce suspected errors or malfunctions of software upon request; and, (vii) timely make decisions, notify Farragut of relevant issues or information and grant approvals and /or permission to Farragut. Customer will obtain and provide to Farragut all required licenses, approvals or consents from third parties necessary for Farragut's performance of the Services, except to the extent, if any, relating to Farragut products. Customer accepts responsibility for Customer's failure to obtain the appropriate licenses, intellectual property rights, or any other permissions, regulatory certifications or approvals required to support this SOW, except to the extent, if any, relating to Farragut products. If Farragut is to install products as part of the Services, Customer shall prepare and maintain the installation site in accordance with Farragut's and the applicable third party manufacturer's instructions and specifications. Customer is responsible for insuring that these instructions and specifications, as well as all instructions and specifications provided by Customer, comply with all local laws and building ordinances. Customer is responsible for all environmental requirements, electrical interconnections and modifications to facilities for proper installation. Any delays in preparation of the installation site will - 10 - correspondingly extend Farragut's delivery and installation deadlines. Customer is exclusively responsible for supervising, managing and controlling its use of hardware, software, integrated systems and other Deliverables installed or provided by Farragut, including but not limited to, establishing operating procedures, appropriate access and permissions, and audit controls, supervising its employees, providing adequate network security, making daily backups, providing virus protection, inputting data, ensuring the accuracy and security of data input and data output, monitoring the accuracy of information obtained, and managing the use of information and data obtained. Customer will insure that its personnel are, at all times, educated and trained in the proper use and operation of products provided by Farragut and that products provided by Farragut are used in accordance with applicable manuals, instructions and specifications. CUSTOMER IS RESPONSIBLE FOR BACKING UP CUSTOMER'S DATA, SOFTWARE AND SYSTEMS. Customer will maintain back -up data, software and systems necessary to replace critical Customer data, software and systems in the event of loss, corruption or damage to data, software or systems from any cause. Customer represents and warrants to Farragut that it does not have any contracts or other obligations to third parties, including but not limited to any license agreements or confidentiality obligations, that will be violated in any respect by Customer's or Farragut's performance under this Agreement. Scope of Contract for Construction The project entitled Harnett County WTP Upgrade to 42 MGD is a continuation of the project started previously. The water treatment plant was expanded from a capacity of 12 MGD (the plant was permitted to run at 15 MGD) to a permitted capacity of 24 MGD with the project being completed in 2011. As a part of that first project, provisions were made in the design and construction that allowed for the orderly expansion of the facility to 42 MGD. The current project is the completion of the WTP project with the facility being expanded to 42 MGD. In addition to the capacity increase, additional improvements were included to address issues related to the utilization or age of the facility. Bid Solicitation The project was advertised in the Raleigh News and Observer on February 8th, 9th, and 10th for bids due on March 12th, 2015. The project was also advertised in bulletins from Dodge Plan Room and iSqFt Plan Room. Eleven bid packages were sent to contractors and suppliers and four addenda were issued during the advertising period. The "Harnett County, Minority- Owned, Woman- Owned, Disadvantaged Owned, Outreach Plan and Guidelines" was included in the Contract Documents which required executed documentation with the bid detailing the Contractor's efforts and results in recruiting minority participation for the project. Engineer's Cost Opinion The initial cost estimate for the upgrade of the facility included a provision to provide pretreatment as a part of the water treatment plant process. This stipulation was added based on the primary settling process that was utilized in the design of the upgrade in 1995, the SuperPulsator. This issue was discussed with NC DENR during the design and permitting of the first phase of the facility. The first phase was allowed to proceed without pretreatment due to the additional treatment processes added during that phase (Granular Activated Carbon and UV Disinfection). The pretreatment requirement would have added additional capital cost (approximately $6 million) as well as operational costs. The Engineer's Cost Opinion for the project was $8,824,464 which did not include some of the final items added during the bid process including the PAC tower and other items. Bid Results Bids for the Harnett County WTP Upgrade to 42 MGD project were received on March 19, 2015 by the Harnett County Department of Public Utilities and publicly read aloud. At the time of the bid opening, six bids were received on this project ranging from a low bid of $10,297,000 to a high bid of $12,085,000. The low bid was submitted by State Utility Contractors, Inc. of Monroe, North Carolina. We have reviewed the bids and the scope of work for the project and feel that the bids are reflective of the work involved for the construction of the Harnett County WTP Upgrade to 42 MGD project. We therefore recommend that the project be awarded to State Utility Contractors, Inc. for a total amount of $10,297,000. Copies of the Certified Bid Tabulations are attached. Project Operational Considerations Upgrading the water treatment plant will provide Harnett County with adequate capacity to meet the contractual obligations for water service, provide for the needs of the citizens of Harnett County, as well as provide additional capacity for growth. The first annual software support period begins on the Effective Date of this Agreement. Any licenses so deactivated will be subject to the appropriate reactivation provisions of the EULA and /or Compass Software Support Agreement should the Licensee desire to reinstate the solution by paying the remaining balance of this Agreement. Professional services for any such reinstatement that are required to make the system functional shall be paid by Licensee on a time and materials basis at Northwoods' then - current hourly professional services rates plus expenses. Notwithstanding Section 3, the compensation terms contained within this section of the Agreement supersede any contradictory compensation provisions found in any of the Agreement Documents. 8. Taxes. Fees are exclusive of taxes and Licensee will promptly pay or reimburse Northwoods for all taxes arising out of this Agreement, whether or not Northwoods provided prior notice of, or invoiced, any such taxes to Licensee. For purposes of this Agreement, "taxes" means any sales, use, and other taxes (other than taxes on Northwoods' income), export and import fees, customs duties, and similar charges applicable to the transactions contemplated by this Agreement that are imposed by any government or other authority. If Licensee is required to pay or withhold any tax in respect of any payments due to Northwoods hereunder, Licensee will gross up payments actually made such that Northwoods receives sums due hereunder in full and free of any deduction for any such tax. If Licensee is legally entitled to an exemption from the payment of any taxes, Licensee will promptly provide Northwoods with legally sufficient tax exemption certificates for each taxing jurisdiction for which it claims exemption. Licensee acknowledges and agrees that Northwoods requires on -line access to the Software to be installed on Licensee's systems in order for Northwoods to properly install and configure the system and to provide Support Services hereunder, and that the compensation detailed above is predicated on Northwoods having adequate secure remote access. Accordingly, Licensee agrees that it shall install and maintain, at Licensee's sole cost and expense, properly functioning and appropriate, industry standard communications software approved by Northwoods; and Licensee shall establish and maintain, at Licensee's sole cost and expense, an adequate secure connection with Northwoods to facilitate Northwoods' remote support services. Details of the required ports and acceptable applications are found within the "Northwoods Remote Access Requirements" document incorporated by reference as if fully restated herein. 10. Requirements of Licensee with regard to the purchase of Compass® CoPilot software (if applicable): a) Licensee staff that will use the Compass® CoPilot software must be fully trained on the use and operation of the tablet on which the Compass® CoPilot software will run prior to Project kick -off. b) Licensee acknowledges and understands that any and all third party services or applications, including but not limited to AWS S3, or any other application(s) purchased or installed by Licensee at the request of Northwoods, or pre - installed on the tablet on which the Compass® CoPilot software runs, are not owned by Northwoods. Licensee agrees that Northwoods is not responsible for examining or evaluating the content or activities and does not warrant and will not have any liability or responsibility for any such third -party applications, nor does Northwoods have any responsibility for providing support services for any such third party applications, unless specifically agreed to in a signed written agreement between the Parties. c) Licensee acknowledges and understands that an active AWS S3 account is required for the use of Compass CoPilot. Northwoods is not responsible for any loss of functionality or system downtime due to Licensee's failure to maintain uninterrupted access to the AWS S3 account, nor is Northwoods responsible or liable for the acts or omissions of Amazon. d) The obligations of Licensee under this section and all disclaimers of warranties and limitations of liability set forth herein shall survive any termination of this Agreement. 11. Publicity. Licensee authorizes Northwoods to identify Licensee as a client, and to use Licensee's name and logo in any of Northwoods' mutually agreed to advertising copy, promotional material, and/or press releases. 12. This Agreement may be terminated by either party upon thirty (30) days' notice, in writing, delivered upon the other party prior to the effective date of termination. In the event of termination by either party, Licensee shall be responsible for payment for all hardware, software, and services rendered by Northwoods through the date of termination. The termination of this Agreement does not affect the existence and obligations of the Compass® Software End User License Agreement (or "EULA "), and/or the Compass® Software Support Agreement. 13. This Agreement shall be binding upon all parties hereto and upon their respective heirs, executors, administrators, successors, and assigns. 14. This Agreement shall not be modified in any manner except by an instrument, in writing, executed by all parties to this Agreement. 15. This Agreement and any claim, action, suit, proceeding, or dispute arising out of this Agreement shall in all respects be governed by, and interpreted in accordance with, the substantive laws of the State of North Carolina without regard to its conflicts of laws provisions. Nothing in this Agreement is intended to, or shall be deemed to constitute a partnership, association or joint venture between the parties in the conduct of the provisions of this Agreement. Northwoods shall at all times have the status of an independent contractor. 18. THE FOREGOING LIMITATIONS, EXCLUSIONS AND DISCLAIMERS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE. In no event shall Northwoods be liable for any special, incidental, punitive, indirect, or consequential damages whatsoever (including, but not limited to. damages for loss of profits or confidential or other information, for business interruption, for personal injury, for loss of privacy, for failure to meet any duty including of good faith or of reasonable care, for negligence, and for any other pecuniary or other loss whatsoever) arising out of or in any way related to the use of or inability to use the software or hardware, the provision of or failure to provide support or other services, information, software, and related content through the software or hardware or otherwise arising out of the use of the software or hardware, or otherwise under or in connection with any provision of this Agreement, even in the event of the fault, tort (including negligence), misrepresentation, strict liability, breach of contract or breach of warranty of Northwoods, and even if Northwoods has been advised of the possibility of such damages. 20. If by reason offorce majeure either party is unable in whole or in part to act in accordance with this Agreement, the party shall not be deemed in default during the continuance of such inability. The term `force majeure" as used herein shall include without limitation: acts of God; strikes or lockout; acts of public enemies; insurrections; riots; epidemics; lightning; earthquakes; fire; storms; flood; washouts; droughts; arrests; restraint of government and people; civil disturbances; and explosions. Each party, however, shall remedy with all reasonable dispatch any such cause to the extent within its reasonable control which prevents the party from carrying out its obligations contained herein. 21. Any waiver by either party of any provision or condition of this contract shall not be construed or deemed to be a waiver of any other provision or condition of this Agreement, nor a waiver of a subsequent breach of the same provision or condition. 22. This Agreement may be executed in one or more identical counterparts, each of which shall be deemed an original but all of which together shall constitute but one and the same instrument. 23. This Agreement sets forth the entire agreement of the Parties and supersedes all prior or contemporaneous writings, negotiations, and discussions with respect to the subject matter hereof. This exception can be found in Section 143- 129(g) of the North Carolina General Stat- utes (hereinafter, G.S.) and is entitled, "Waiver of Bidding for Previously Bid Contracts." The text of the exception, along with questions and answers inter- preting it, are set out below. The exception reads as follows: When the governing board of any municipality, county, or other subdivi- sion of the State, or the manager or purchasing official delegated authority under subsection (a) of this section, determines that it is in the best inter- est of the unit, the requirements of this section may be waived for the purchase of apparatus, supplies, materials, or equipment from any person or entity that has, within the previous 12 months, after having completed a public, formal bid process substantially similar to that required by this Article, contracted to furnish the apparatus, supplies, materials, or equip- ment to: (1) The United States of America or any federal agency; (2) The State of North Carolina or any agency or political subdivision of the State; or (3) Any other state or any agency or political subdivision of that state, if the person or entity is willing to furnish the items at the same or more favorable prices, terms, and conditions as those provided un- der the contract with the other unit or agency. Notwithstanding any other provision of this section, any purchase made under this subsection shall be approved by the governing body of the pur- chasing municipality, county, or other political subdivision of the State at a regularly scheduled meeting of the governing body no fewer than 10 days after publication of notice, in a newspaper of general circulation in the area served by the governing body, that a waiver of the bid procedure will be considered in order to contract with a qualified supplier pursuant to this section. Rules issued by the Secretary of Administration pursuant to G.S. 143 -49(6) shall apply with respect to participation in State term contracts. No. It only applies to contracts for the purchase of apparatus, supplies, materials, or equipment. 2. Does the piggybacking exception apply to contracts in the informal range? No. The exception is contained in the formal bidding statute (G.S. 143- 129), and there is no indication of legislative intent to extend it to informal bids, which are governed by G.S. 143 -131. More importantly, an exception is not re- ally necessary to piggyback on a contract in the informal range (contracts cost- ing from $5,000 to $90,000). If a seller is willing to extend pricing established in prior contracts, the local government can simply accept the seller's price as an informal bid, seek additional bids (no minimum number is required but compe- tition should be sought), and award to the lowest responsible bidder. No adver- tisement or governing board action is required for contracts in the informal range. 3. When a local government piggybacks on another contract, does the local government actually become a party to that contract? No. In this sense, the term "piggybacking" is actually not an accurate description of what the statute allows. The exception allows a local government to enter into a new and separate contract with a vendor who has contracted with another public agency and who is willing to extend the same or more fa- vorable prices and terms to the local government. 4. Are local governments still required to "sign on" in advance in order to participate in state contracts? How should local governments interpret the language in the statute about complying with Department of Administration rules for participating in state term contracts? The piggybacking exception allows local governments to purchase di- rectly from a state contract vendor without agreeing to be a party to the state contract in advance as long as the state contract was entered into within the past twelve months. Local governments can also purchase directly from a state contract under a separate exception covering these purchases. (See Question 41.i.) When a local government uses the piggybacking exception to purchase from a state contract vendor the local government does not become a party to the state contract and is not "participating" in the state contract. As noted ear- lier, the piggybacking exception allows a local government to enter into a new and separate contract with a vendor who has contracted with another unit. The vendor is not legally obligated to extend to the local government the state con- A Legal Guide to Purchasing and Contracting Appendix 3 131 tract prices and terms; but if the vendor is willing to do so, the purchase can be made after the procedures in G.S. 143- 129(g) are followed. To participate in a state contract, on the other hand, local governments must comply with the procedures and regulations established by the Depart- ment of Administration through the Division of Purchase and Contract. If a lo- cal government takes this route, the vendor is obligated to extend the state contract prices and terms to the participating unit, and the participating unit is obligated during the term of the contract to purchase from the state contract vendor all of its needs for the items covered by the contract. The effect of agreeing to participate in a state contract is that the local government is bound to the same extent as if it had awarded the contract itself. This means that if the local government wants to be guaranteed the state contract price, it must participate in the contract in accordance with the Division of Purchase and Contract procedures. If the local government does not wish to be bound by the state contract it is free to purchase from a willing state contract vendor without signing on in advance under the state contract exception, or under the piggybacking exception. If a local govern- ment uses the piggybacking exception, however, the twelve -month limitation and the requirement of notice and board approval in G.S. 143- 129(g) must be met. As noted earlier, if a contract is in the informal range, the local govern- ment can purchase from the state contract vendor without going through the piggybacking procedure and without signing on in advance as long as it com- plies with the informal bidding procedures. A listing of state term contracts is available through the Internet at the State Purchase and Contract Web site: www.doa .state.nc.us /PandC /stdhp.htm. 5. What information should be contained in the notice that must be published under the piggybacking exception? The statute does not specify, but I recommend that the notice contain at least the following information: (1) a general description of the item(s) to be purchased (the anticipated quantity probably does not need to be included, but could be if the unit feels the information would be useful); (2) the identity of the supplier; (3) the city, state, or other agency with whom the supplier has contracted within the past twelve months (the date the contract was entered into might be useful, but probably is not essential); and (4) the date of the regu- lar board meeting at which the board will consider the waiver of bidding. A local government may also want to list the name and phone number of a person within the unit to contact for more information. This would allow in- terested competitors to contact the appropriate person to present an alterna- tive offer prior to the board's award of a contract under the exception (see discussion below about alternate offers). A sample notice might read (substitute information appropriate to your unit of government for material in brackets): "The [Landville Board of Commissioners] will consider a waiver of com- petitive bidding under G.S. 143- 129(g) at its regular meeting on [August 22, 1998] for the purchase of [two front end loaders] from [Heavy Duty Equip- ment, Inc.], the seller having agreed to extend to [ Landville] the same or 132 A Legal Guide to Purchasing and Contracting Appendix 3 more favorable prices and terms set forth in its contract with [Greenleaf County], entered into on [November 12, 1997]. For additional information, contact [Pat Johnson, Landville Purchasing Director] at [phone number, fax number, e-mail address]." Return to List of Questions 6. Is a local government required to accept bids offered by other suppliers during the process of purchasing under the piggybacking exception? Although the statute does not require this, it seems logical that one pur- pose of the notice requirement is to Iet potential competitors know about the board's intent to award a contract without bidding. If an alternative proposal is made that would result in savings to the unit, or if the responsible person oth- erwise becomes aware that it would be in the best interest of the unit to obtain competition, he or she should abandon the piggybacking option in favor of receiving formal bids. It does not appear that board action would be required to abandon the piggybacking option and initiate a formal bidding process. 7. Does the unit of government that originally contracted with the vendor have to take any action prior to piggybacking by a North Carolina local government? No. No action is required by the prior contracting agency because, as noted earlier, the North Carolina local government is not becoming a party to the prior contract. Instead, the exception allows the local government to en- ter into a new and separate contract with the vendor. Some cooperative pur- chasing contracts have provisions that require the vendor to make its prices available to other local governments, but the exception in the North Carolina statute does not require such a provision to have been included in order for the piggybacking to occur. It may be necessary for the Local government to contact the original contracting agency, however, to verify that a public bid- ding process was undertaken, and to verify the terms and date of the original contract. 8. How must a local government document the existence of the prior contract in order to use the piggybacking exception? The statute does not require any specific proof of the existence of the prior contract, but local governments should not rely upon the representations of a vendor or other person without verification. If it turns out that there was no contract, or that the contract is more than twelve months old, the local government is not entitled to a waiver of bidding and the resulting contract, if challenged, would be held to be void. The local government could require the vendor to present a certified copy of the contract or a copy of the contract accompanied by a verification letter from the original contracting agency, or the local government could simply contact the agency and verify the informa- tion directly. The local government should also obtain information about the bidding process that was used for the contract to make sure it is similar to North Carolina's formal bidding statute, as required under the exception. A Legal Guide to Purchasing and Contracting Appendix 3 133 9. From what date does the twelve -month period begin to run? The statute does not provide much guidance on this question. It says that the seller must have "contracted" within the previous twelve months. Although there are several possible interpretations of this language, the most conserva- tive and, therefore, the safest interpretation is that the period begins to run from the date the contract became effective —that is, when the last act neces- sary to create a mutually binding contract occurred. Where a contract is evi- denced by a purchase order, there is some question about when the contract actually comes into being since there is often no separate document signed by the vendor. In such cases, it would be appropriate to use the date of the pur- chase order as the contract date. 10. What if the original contract was entered into more than twelve months ago, but it has been renewed within the past twelve months? If a renewal option was a part of the original contract, then the renewal does not amount to a new contract, but is instead a continuation of the origi- nal contract. In such a case it appears that a contract would not meet the re- quirement for piggybacking. If, on the other hand, a renewal was not a part of the original contract, but is a new contract, an argument could be made that the new contract is within the twelve -month limit. A counter argument could be raised, however, that the new contract was not formally bid, but perhaps a court would view the new contract as having resulted from the original bid process. It is also possible that a court would interpret the statute as not allowing piggybacking on a renewed contract in either case. One interpretation of the intent behind the twelve -month limitation is that it is designed to ensure that the bidding process undertaken for the original contract is recent enough to justify piggybacking without rebidding. The statute may reflect an assumption that a bidding process has occurred just before the contract was issued and, thus, roughly within the past year. If a local government piggybacks on a con- tract that was bid three years ago but that was renewed within the past year, a court may find that the original bidding process is too old and does not reflect the current competitive market. Under this reasoning, a court might rule that the use of the exception on a renewed contract violates the intent of the statute. 11. What are the key aspects of a "public, formal bid process" that must be present in order for a prior contract to be eligible for piggybacking under the exception? Again, the statute is not specific on this point. Based on a review of com- petitive bidding requirements from other jurisdictions, the key aspects of a public competitive bidding process typically include (1) public advertisement or other broadly announced and generally accessible notice of an opportunity to bid and (2) sealed, competitive bids. Most competitive bidding procedures from other jurisdictions probably satisfy this requirement. 134 A Legal Guide to Purchasing and Contracting Appendix 3 12. Can a local government piggyback on its own contract? Although this probably wasn't how the exception was intended to be used, the statute appears to allow it. The unit would still have to comply with the notice and board approval requirements under the exception even though the prior contract was already approved by the same board. A better way to accomplish this result, however, is to include an "additional quantities" clause in the specifications for the initial contract. This would authorize the local gov- ernment, at its option, to obtain additional quantities of items under contract at the same price (usually for a specified period) and alleviates the need, when additional quantities are desired, either to conduct a second bidding proce- dure, or to use the piggybacking procedure to avoid bidding. The specifications for the initial bid should clearly indicate that an additional quantities clause will be a part of the contract. 13. Can a local government piggyback on a contract that was entered into under the piggybacking exception (piggyback on a piggybacked contract)? Although the statute does not specifically address this issue, it does not appear that this would be legal. The statute requires the original contract to have been entered into following a public, formal bid process substantially similar to that required under G.S. 143 -129. Although it could be argued that since the piggybacking exception is contained in G.S. 143 -129 the contract com- plies with that statute's requirements, the better interpretation is that a contract entered into under the piggybacking exception does not satisfy the requirement of formal, public bidding. 14. Can a local government purchasing under the exception make any changes in the terms of the original contract if the vendor will agree to them? The statute specifically allows the vendor to provide more favorable terms or prices than those offered under the original contract. It is probably also acceptable for the local government to purchase a different quantity of items or to agree to a different duration term for the new contract than in the original contract. Great caution should be exercised, however, in making other types of changes that might place the new contract outside the scope of the exception. Since the statute authorizes the purchase of the same items that were purchased under the original contract, a substantial change in the char- acter of the items to be purchased under the new contract may render the contract void. For example, if the original contract was for two -door vehicles and the local government wishes to purchase a four -door vehicle, such a pur- chase could not legitimately be made under the piggybacking exception. A closer case would involve a change in the options chosen by the local govern- ment. It may be legitimate for the local government to choose options that were not chosen by the original contracting agency without undermining the use of the exception as long as the options are minor and would not have been A Legal Guide to Purchasing and Contracting Appendix 3 135 likely to change the outcome of the original bid had they been included in the solicitation by the other public agency. There is no way to establish a hard rule on this issue, but local govern- ments should consider whether modifications to the original contract would have been outside the scope of what was originally bid or would substantially increase the price. If so, a separate bidding process should be undertaken in- stead of using the piggybacking exception, even if the contractor has offered competitive prices. The exception does not authorize simply entering into ne- gotiations with a vendor who has contracted with another public agency. Local governments should be cautious when purchasing under the exception to stay within the limits of its scope. Amended Changes Agenda Item AN ORDINANCE PERMITTING THE POSTING OF SIGNS TO PROHIBIT THE CARRYING OF CONCEALED HANDGUNS ON CERTAIN COUNTY PROPERTY WHEREAS, Chapter 398 of the 1995 Session laws changes prior law by establishing a system that will allow private citizens to obtain permits to carry concealed handguns; and WHEREAS, this change in the law will significantly increase the number of individuals who may legally carry concealed handguns; and WHEREAS, the Board of Commissioners is concerned about the increased presence of concealed handguns on County property and about the threat that such increased presence will pose to the health, safety, and general welfare of the community; and WHEREAS, N.C.G.S. § 14- 415.23 authorizes Counties to adopt ordinances to permit the posting of a prohibition against carrying a concealed handgun, in accordance with N.C.G.S. § 14- 425.11(c), on County buildings, their appurtenant premises, and recreational facilities not ; and excluded by § 14-415.23(d) WHEREAS, it is the intent of this ordinance to permit the posting of County property such that the carrying of concealed handguns on the posted premises will constitute a violation of N.C.G.S. Chapter 14, Article 54B; NOW, THEREFORE BE IT ORDAINED by the Harnett County Board of Commissioners that: Section 1. Posting of Signs Required. Subject to the limitations of § 14- 415.23(d), the County Manger is hereby ordered to post appropriate signage on each recreational facility, building or portion of a building now or hereafter owned, leased as lessee, operated, occupied, managed or controlled by Harnett County, as well as the appurtenant premises to such buildings, indicating that concealed handguns are prohibited therein. Section 2. Location of Signs. Said signs shall be visibly posted on the exterior of each entrance by which the general public can access the building, appurtenant premise, or recreational facility. The County Manager or his designee shall exercise discretion in determining the necessity and appropriate location for other signs posted on the interior of the building, appurtenant premise, or recreational facility. Section 3. Effective Date. This ordinance shall be effective on and after November 1, 1995. Adopted this the 16th day of March, 2015. Chapter 14, Article 54B; NOW, THEREFORE BE IT ORDAINED by the Harnett County Board of Commissioners that: Section 1. Posting of Signs Required. The County Manager is hereby ordered to post appropriate signage on each park, building or portion of a building now or hereafter owned, leased as lessee, operated, occupied, managed or controlled by Harnett County, as well as the appurtenant premises to such buildings, indicating that concealed handguns are prohibited therein. Section 2. Location of Signs. Said signs shall be visibly posted on the exterior of each entrance by which the general public can access the building, appurtenant premise, or park. The County Manager or his designee shall exercise discretion in determining the necessity and appropriate location for other signs posted on the interior of the building, appurtenant premise, or park. Kay • ancha Harnett C O U N T Y Agenda Item www.harnett.org RESOLUTION BY THE HARNETT COUNTY BOARD OF COMMISSIONERS IN SUPPORT OF SENATE BILL 369 THAT WHEREAS, the North Carolina Senate has introduced Senate Bill 369, an act to phase -in the conversion of the local sales and use taxes authorized under Articles 39, 40 and 42 to a state sales and use tax that is allocated to counties and cities on a per capita basis as a local revenue source, which is also known as the Sales Tax Fairness Act; and WHEREAS, the Act would eliminate most local sales taxes, such as the county- levied sales taxes, and convert them to a state sales tax; and WHEREAS, the State would then distribute the funds to counties and cities based on population; and WHEREAS, Harnett County's population has grown considerably in recent years, outpacing retail and commercial growth, causing residents to go out of county to shop; and WHEREAS, under the current system of sales tax allotment, Harnett County loses large amounts of sales tax dollars to neighboring counties; and WHEREAS, in 2014, Harnett County lost approximately $244 million in potential retail spending from residents shopping and dining outside of the county; and WHEREAS, under Senate Bill 369, the North Carolina Association of County Commissioners estimates Harnett County would gain $12 million in sales tax revenue in 2018 -19 over the current allocation; and NOW THEREFORE BE IT RESOLVED that the Harnett County Board of Commissioners: 1. Declares its support of Senate Bill 369; and 2. Urges the North Carolina General Assembly to pass Senate Bill 369; and 3.
