TO UNIVISION ASSOCIATES, I, A NORTH CAROLINA
GENERAL PARTNERSHIP
WHEREAS, the Board of Commissioners of Harnett County, North
Carolina adopted on November 1, 1982, an ordinance entitled "AN
ORDINANCE GRANTING A CABLE TELEVISION FRANCHISE TO UNIVISION CABLE
SYSTEMS, INC. ", which ordinance granted a CATV cable television
franchise to Univision Cable Systems, Inc. in the unincorporated
areas of Harnett County as amended by Ordinance adopted May 16,
1983; and
WHEREAS, Univision Cable Systems, Inc. financed the
construction of its cable plant and facility through Univision
Associates I, a North Carolina limited partnership; and
WHEREAS, Univision Associates I has now become a North Carolina
general partnership with High Steel Structures, Inc., a wholly owned
subsidiary of High Industries, Inc., holding a 99% interest as one
partner and Univision Cable Systems, Inc. holding a 1% interest as
the other partner and has now assumed all management
responsibilities; and
WHEREAS, Univision Cable Systems, Inc. has, subject to the
approval of the Board of Commissioners of Harnett County, assigned
to Univision Associates I the franchise heretofore granted it as
above described.
NOW, THEREFORE, be it resolved that the Board of Commissioners
,of Harnett County does hereby give its consent and approval to the
transfer and assignment of such franchise from and by Univision
Cable Systems, In. to Univision Associates I, but subject to all of
the obligations and all of the terms and conditions of the franchise
granted to Univision Cable Systems, Inc., as amended.

corporation with its principal office and place of business in
Richlands, Onslow.County, North Carolina, (hereinafter referred to
as "Assignor ") and UNIVISION ASSOCIATES -I, a North Carolina general
partnership with its principal office in Lancaster, Pennsylvania
,(hereinafter referred to as "Assignee ").
W I T N E S S E T H
WHEREAS, pursuant to "AN ORDINANCE PROVIDING FOR THE METHOD
OF FRANCHISING THE CONSTRUCTION OPERATION AND MAINTENANCE OF A CABLE
TELEVISION SYSTEM IN THE COUNTY OF HARNETT STATE OF NORTH CAROLINA ",
Assignor herein submitted its application to the Board of
Commissioners of Harnett County to serve_an area located within the
unincorporated areas of the County; and
WHEREAS, pursuant to said application, Assignor was, on November
1, 1982, granted such a franchise to serve the unincorporated area
of Harnett County, as amended by Ordinance adopted May 16, 1983; and
WHEREAS, Assignor desires now to transfer all of its right,
title and'Ant.erest in and to-the franchise- granted to it by the Board
of Commissioners of Harnett County, and Assignee has agreed to
accept said assignment and shall assume all of the, rights, duties
and obligations of the Assignor pursuant to the terms of said
ordinance.

NOW, THEREFORE, in consideration of the foregoing and the sum
of Ten ($10.00) Dollars, the receipt of which is hereby acknowledged,
it is agreed between the parties as follows:
1. Assignor does hereby assign to Assignee all of its right,
title and interest in and to that certain franchise agreement, as
amended, by the Board of Commissioners of Harnett County, subject
to the approval of this Assignment by the said Board of Commissioners
of Harnett County.
2. In the event that this Assignment is approved by the Board
of Commissioners of Harnett County, Assignee agrees that it shall
abide by all of the terms and conditions imposed upon the Assignor
under the terms of said franchise granted it.
IN WITNESS WHEREOF, the parties have hereto have caused this
Assignment and the acceptance thereof to be signed in their corporate
names by their duly authorized officers and attested thereto and
their corporate seals to be affixed thereto the day and year first
above written.
